NOTICE is given under the Transfer of Business Act that certain assets (collectively the “acquired assets”) in the following locations in Kenya: (i) Namba Kolo, Migori; (ii) Oltoruto, Narok; (iii) Olenarau, Kajiado; (iv) Entesopia, Kajiado; (v) Enkoreroi, Kajiado; (vi) Marti, Samburu; (vii) Opiroi, Samburu; (viii) Barsaloi, Samburu; and (ix) Merile, Marsabit owned and held by African Impact Ventures LLC, a Washington limited liability company registered as a foreign company in Kenya (“Transferor”) and carrying on the business of solar powered electricity generation thereon, will subject to the fulfilment of certain conditions be transferred to Kudura Power East Africa Limited (“Transferee”) pursuant to the terms of an Asset Transfer Agreement dated 30th August, 2019 (the “Agreement”). The address of the Transferor is at Fifth Ngong Avenue, off Bishops Road, IKM Place Building and P.O. Box 11866–00400, Nairobi, Kenya. The address of the Transferee is at Building Plot No. Bukhayo/Mundika/8044, Tanaka Street, Kisumu–Busia Road and P.O. Box 1109–50400, Busia, with a copy to Kieti Advocates LLP, CVS Plaza, Lenana Road and P.O. Box 22602–00505, Nairobi, Kenya. In the event that the conditions to the Agreement are fulfilled, the Transferee intends to carry on the business from the same locations listed above. All debts or liabilities due and owing by the Transferor up to the date of the transfer as set out in the Agreement shall be paid by the Transferor. The Transferee will not assume, nor does it intended to assume any liabilities (save for certain statutory liens, obligations and liabilities listed in the Agreement) incurred by the Transferor in the business up to the date of transfer.
