PROPOSED ACQUISITION

PURSUANT to the provisions of section 46 (6) of the Competition Act, (Cap. 504) of the laws of Kenya, it is notified for general information, that in exercise of the powers conferred upon the Competition Authority of Kenya by Section 46 (6) (a) (ii) of the Competition Act, the Competition Authority of Kenya has authorized the proposed transaction as set out herein subject to the following conditions: (i) The Acquirer shall ensure that all third-party transactional, customer, or merchant data collected or processed through the target’s infrastructure, networks, or platforms remain ring-fenced and are not shared, accessed, or utilized by the Acquirer for purposes other than those strictly necessary for the operation of the Target Undertaking; and (ii) The merging parties shall ensure that the Target Undertaking honours its current contracts with its customers as per the agreed contractual terms.
