The Respondent eompany was once a thriving business
manufacturing sports goods and employing over 20O staff. It avers in
tllç 1990: ït became onc of the castlalties of the cotlntry's liberalization
policy and by 1995 it had cut its staff by more than half. By 1999
further redundancies had reduced its staff to a mere seven' (7)
' employees wbo are the subiect of the dispute kn this case.
The pal-ties at a1l material timel have had a collective agreement in
fol'ce. The Rcspondent has been dealing with a Mr. George Gwako, thc
Claimant's Nairobi Branch Secretary.
''rhe Respondént continutld minimal operations with the 7 core staff
(the Grievants herein) until about'2003 whcn it claims it was unable to
pay the salarïes of the relnainfng staff. It tllel-efore dccided to terlninate
the services of the Grievants as well. lt then entered into negotiations
with the Claimant union and agreed to lnake an ex-gratia pqtylnent to

least to know the reasons therefor and the bcnetks (if any) therefrom.
We tlan safely assllme in tlli: cage tka! zl1e rznpltlyee..g werr fully aware
that business wêts going dewn and that terminatiùn of their
ernploymellt was also a matter of time. We can also belîeve tlmt the
employer had at some point in time discussed the potential loss of
employment by. tlfe Grievants with tllçm directly. A retirement or
redundancy was in the ofting, as it were. If such wire the evcntual fate
of tlle eznployatls, tht)y ware at least aware ap# zeastmbly exptcted
that they would be paid their legal enefitq, if not ploré. ne fact that
they were retaincd as skeleton staff meeot tlut tere was Mlme work
for them to do to justify their presence, lmlike the many others who
had been laid off earlier.
The CBA is signed with the trade union. The employer deals witb
the trade union in a1) disputes a/ tl'e workplace with employees. Clause
16 required consultation with the trade union for an intendcd
redundancy. Does this entitle tlle employer to negotiate with the trade
union to the txclusion of tlle employte? In the context of redtmdancy,
we think not. The very fact of redundancy requircs that an affected
employee be consulted on alternative employment. on the selection of
who goes first, on rt-enganement and on tllr correctner of propoxed
entitlement. There is no room in the interpretation of Clause 16 for
action by the trade union without the involvement of the affected
employ' ee. If the employee must be consulted on a regular redundancy
process. then the eniployee must of necessity be .consulted wbere the
employer wished to declare an unprocedural redundap-cy without
paying the agreed dues. '
The emjloyer is pmptving a breaeh of contract and is taking the

e resentatlve on the side and negotiaying the breach withoutr p
consulting or seeking tlle consent of the 'party directly affected. This is
tantamount to breach of trust and we are not surprised that in a
situation of commromise, the Claimant tmion' s head office ctmcludes
impropriety on the part of the employer and the Branch Secretary.
Now that ti'e time for the Grievants to go lkad also come, what
should the emplthyer and the worker& represenutive Imvô dûne?
Clearly, in tht 1 aee of an existing CBA, tbere was an obligation tll
follow the negotiation procedure contained lerein. Te parties were

The Claimant ullion states that the negotiations were improper or
insufticient. The Rtlspondent claims that they were proper and binding.
Clause 16 t)f the applicable CBA is a lengthy clause defining
j, -retlundaacy a! ltèdll't'? and imposing obligatitms upon the Rcsptlntlémt ttl
first avoid redtllldancy ày endeavouring to çtan-ange suitable alternative
employment wftflïn the company''. Thereafter, if redundancy was
tlecessary, thc Respondent was Qéto hold prior discussions with the
Union concern'ing the reasons for and the extent of the intended
redundancy'' alld lhe first-in-last-out principle was to be applied. The
tll'ievcrlt!k w'crc alsc to be' ttgiv'en prior consideratioll for rc-
engagement .. . should a' vacancy arise actording to their
qualifications''. Finally, there was to be paymen! of entitlements
consequent to the redundancy wllich included notice or pay in lieu,
paylncnî of wagtzs, overtime and olher tluas. pro-rata kave. related
allowances antl lt severance pay luween 20-27 days per completed
f servictr and a'ny retirement and/or provident fund entidementsyear o
(if any).
.TYs is an extensive provision as a safegukrd against unfair
dismissal of an employee. The spirit of this pfovision, il our view, is
thx there be protection of the employee's job in lint witb t:e general
principle of the J'ight ttl work and if such protection was found to be
unavailabke, thfrî' thef'e be adeqtute colnpensatioe le ease tlle impact of
loss of livelihood 1201- the emp'loyee. The protection is of tlw employee.
not the union or the employer. The negayive impact was on the
employee, not tlètl union or the employer. The right to know and to
cornment on 1hc procelure, to be sàtisfjed witll tbe. adcquac'y of
constlltation. and selection of those t-o-be declared redundant, the offer
of re-engagçnwnt and the calculation of entitleluent w'ere all k'tzsted
rights in favotlf tJf the emp'loyee. TNe trade union was a representative
in the nature $-.1f.* a trustee as would be an advocate acting on behalf of
the. employer. 'rhf) rights in employmeni and its termination did not
vest in the trade ullion nor do they pass to the trade nnion to treat as it
plrases. Tllc tiad. c unfon llas afl obligzdon (o abidc by the CBA, just as
the employer d'ats. We cannot imagine a situation whereby an
emplo-yee would lose his right to enforce'an agreement merdy on the
grounds that the trade union negotiated a lesser benefit without the
knowlezge or ttonsolt of fbe righf bolder.
ln (he casc tlclbre us, the employer wished to amend the tenns of
the CBA apàtl derogate from the provisions of Clause 1 6
aforemcntioned. 'Fhe employer could offcr to dtl so for very valid
reasons includfqg, as in this di.spute, that it had run out of money.
However such efl'er must be to the rigbt holder, i.e. the employee,
through the trade union as representative. The trade union. as we have
earlier stated, w:ls a representative in the nature of a trustee and not a
ltolder of an Jzw,c/l'vpcv9blr ppwez pf attorney.

First tllere is a letter from the Claimant union to the Respondent
seeking a favour for the interest of the Grievants who are aiready being
termed fnbn-members' and yherefore not entitled to the representation
of the tradè union. Both parties are aware that the law binds thtm both
to kmplement the CBA in favoùr of a11 upîonisable employees and not
only unifm memberd. 'A few week: later, the partir: agrer tlmt tlle
Grievants are now members of the union and they be paid the
'something' that that has been agreed between thç two without setting
out the basis for calculating the amounts agreed upon. This amount is
taken to be in fulf and tinal settlement and lTonly the emplo' yer and the
union are the panies to use the collective bargpining agreenienf'. It is
llot clear té us wllat the laât sentellce irl the agçeement means. ls it <'t
further agreement to Iock out the employee from challenjfng the
ësecret' agreement, as it were .that has bben arrived at between the
'
union apd the employer? Does it mean that the collective agreement is
the propery of tabe enjployer and the trade union to yhc exclusion of
tlle çmployees who are the beneticiaries of the collective agreement?
Whai emerges from this agreement, in our view, is bad faith on the
art of tlle employer aDd the tradr union in order to undermjne tieP
legal illterest of the employec. The clnpioyer cannot, izl the
cifcumstances of such an unfair process, claim from the Court a
finding in equity that the said agreement witb yhe unitm w>' binding.
This Court çannot, in good conscience, allow for étlcll an agreement to
stand to the detriment of !1)t) Grirvants.
We pay no heed to th'e internal squabbles of the Claimant union.
Had there been proper consultatiop and safeguard of the rights of the
Grievants in this case, we would not' have hesitated in finding thatethe
agreement was binding on the parties inclnding the Grievants.
I'lowever. in tlle circumstances of tllis casc and for the reasons
preferred hereinabove, we cannot tind for the Respondent.
We order therefore that the Grievantg, and each of them, be pa'id
their lawful dues in accdrdance with the CBA registered by this Court
on 26th January, 2000.
