RESOLUTION 2 The shareholders authorized the Company to purchase One Million Two Hundred Seventy-Two Thousand and Four Hundred (1,272,400) Ordinary Shares from Wain Limited at a consideration of Kenya Shillings One Hundred Twenty-Seven Million Two Hundred Forty Thousand (KSh. 127,240,000) only. The resolution was passed in accordance with section 451 of the Companies Act (Cap. 486) of the Laws of Kenya. Dated the 6th February, 2025.
