NOTICE is given in accordance with section 3 and section 4 of the Transfer of Business Act (Cap. 500) of the laws of Kenya, that, pursuant to the terms of a Business Transfer Agreement (the Agreement) entered into between Becton Dickinson East Africa Limited (Company No. C.89434A) (the Transferor) and Augusta Life Sciences KE Limited (Company No. PVT-MA15ZQL6) (the Transferee), the Transferor will transfer: (a) all its assets in respect of its biosciences and diagnostic solutions business (the Transfer Assets); and (b) all its liabilities in respect of its biosciences and diagnostic solutions business (the Transfer Liabilities). If the Agreement is not completed, this notice shall be void ab initio and shall be of no effect. The address of the Transferor is Africa Re Center, 2nd Floor, Hospital Road, Upper Hill, P.O. NOTICE is given that all money, debts or liabilities due and owing by the Transferor in respect of the business up to the date of transfer, as set out under the Agreement, shall be discharged and paid by the Transferor. The Transferee will not assume, nor does it intend to assume, any liabilities incurred by the Transferor in respect of the business up to the date of the transfer other than the Transfer Liabilities.
