YA-GAMTE 1st August, 2008 GAZEi 1E NOTICE NO. 7051 THE TRANSFER OF BUSINESSES ACT (Cap. 500) BUSINESS TRANSFER NOTICE is given that all the assets owned by Shawaz Textile Mills Limited (the "the transferor") on the premises situated on the property being L.R. No 14692, situated north-east of Kiambu Municipality in the Kiambu District in the Republic of Kenya, will be sold and transferred by the transferor to Bahati Industries Limited (the "transferee" who will carry on business at the same place and premises with effect from (insert the 90th day of the date of agreement) or the 65th day of the date when this notice is published in the Kenya Gazette and the Nation and Standard Newspapers which ever is the later ("the transfer date"). The address of the transferor is P.O. Box 34670-00100, Nairobi. The address of the transferee is P.O. Box 57467-00200, Nairobi, Kenya. The transferee is not assuming nor does it intend to assume any debts or liabilities of the transferor incurred in connection with the business of the transferor up to and including the transfer date and the same shall be paid and discharged by the transferor and likewise all debts and liabilities owing and due to the transferor up to and including the transfer date shall be received by the transferor.
