pursuant to section 3 of the Transfer of Businesses Act, of the laws of Kenya, that it is intended that all of the goodwill, the business information, the intellectual property rights, the name and the logo, the know how and the benefits of the contracts hereinafter together called the "Sale Assets" owned by Githongo & Company, Githongo and Associates Limited and Citizen Associates in relation to the audit, business advisory services, accounting services, tax and consultancy services, company secretarial and registry services (together the "businesses") be sold and transferred by way of sale to DCDM Associates, DCDM Advisory Services Limited and DCDM Registrars (together the "intended transferee"), who will carry on similar business using the Sale Assets. The address of the intended transferor is P.O. Box 47080-00100, Nairobi. The address of' the intended transferee is P.O. Box 10032-00100, Nairobi, Kenya. The intended transferee is not assuming nor is it intended to assume any of the debts or liabilities incurred in the businesses or any other business or the intended transferor up to and including the date of the transfer and the same will be paid and discharged by the intended transferor and likewise all debts due to the intended transferor up to and including the date of the transfer will be received by the intended transferor.
