Pursuant to sections 3 and 4 of the Act) ACTION Management Company Limited, of P.O. Box 14194– 00100, Nairobi, Kenya (―the transferor‖) undertakes under the name of ―Antonio’s Grill‖ a restaurant business (―the Business‖) at Sirona House, Kaunda Street, on L.R. No. 209/2546 (―the Location‖). Castle Management Limited, of Post Office Box No. 17850–00500, Nairobi, Kenya (―the transferee‖) has entered into a business sale and asset transfer agreement with the transferor pursuant to which the transferee acquired all the assets of the business with effect from 8 th December, 2010 (―the transfer date‖). After the transfer date, the transferee shall continue with the business at the location. Notice is given that the transferee shall not assume the debts or liabilities incurred by or on behalf of the transferor in connection with or relating to the business arising prior to the transfer date.
