THE REVIEW OF THE STATE CORPORATIONS ACT

APPOINTMENT


UNDER THE MINISTRY OF INDUSTRIALIZATION VIS-A-VIZ THE PROVISIONS OF THE CONSTITUTION OF THE REPUBLIC OF KENYA APPOINTMENT IT IS notified for general information of the public that the Acting Minister for Industrialization has appointed a Task Force consisting of the following: John K. Mohamad Mark ole Karbolo Secretariat: Eunice Njuguna Abdallah C. Bii Edna Adala Sheila Kahuki 1. The Terms of Reference of the Task Force are— (a) to study and recommend a review to the State Corporations Act, Cap. 446 of the Laws of Kenya, viz-a-vis the Industrial Property Act, 2001, the Anti-Counterfeit Act, 2008, the Science and Technology Act, Cap. 250 of the Laws of Kenya and the Standards Act and other statutes governing the State Corporations under the Ministry of Industrialization; (b) to examine, study and recommend a review of the Memorandum and Articles of Association of Kenya Industrial Estates Limited, Industrial Development Bank–Capital Limited, Numerical Machining Complex Limited and the East African Portland Cement Company Limited, and the Legal Notice No. 55 of 2009 establishing Kenya Accreditation Service, viz-a-vis the provisions of the State Corporations Act and the Companies Act, Cap. 486 of the laws of Kenya; (c) to study and advise on the best corporate governance practices especially on the appointment and removal of directors and other appointees of State Corporations under the Ministry of Industrialization and make appropriate recommendations thereof; (d) to specifically study and recommend the review of the Anti- Counterfeit Act, 2008, and the Standards Act with a view to harmonizing the provisions thereto; and (e) to propose any other recommendations that may be necessary with a view to aligning the legislation governing State Corporations under the Ministry of Industrialization with the Constitution. 2. In the performance of its functions, the Task Force shall— (a) regulate its own procedures; and (b) receive relevant information and documents that it requires. 3. The quorum for any meeting for the purpose of conducting any business shall be half of the members. 4. The Task Force may co-opt any other person in execution of its mandate. [3193 THE KENYA GAZETTE 19th August, 2011 5. The costs incurred by the Task Force shall be paid out from the voted funds of the Ministry. 6. The term of the Task Force shall commence on the 8th day of August, 2011, and be for a period of 45 days or any other further date as may be extended. 7. On conclusion of its appointed task, the Task Force shall submit a report to the Acting Minister for Industrialization. 8. The Secretariat of the Task Force shall be based at Telposta Towers, along Kenyatta Avenue, 22nd Floor, Room 2226, P.O. Box 30418–00100, Nairobi. 9. Subject to the foregoing paragraphs, the Task Force shall have the powers necessary or expedient for the proper execution of its mandate. Dated the 8th August, 2011. A. J.
