Box 30682, Nairobi, Kenya (hereinafter referred to as the Transferor), carries on the business of manufacturing hair care products, weaves and hair extensions and cosmetics at various locations in Kenya under its own name (the Business). The Transferor carries on the Business from the properties known as Land Reference Number 209/10716 Lunga Lunga Road, Nairobi, Land Reference Number 209/9545, Likoni Road, Nairobi and Plot Number 2074 Section I Mombasa Island, Mozambique Road, Mombasa (together known as the Business Locations). STYLE INDUSTRIES LIM ITED (Company Number CPR/2012/73312), for the purposes hereof of P.O. Box 41968-00100, Nairobi (hereinafter referred to as the Transferee) intends to acquire substantially all the assets (including trade marks) relating to the Business on the terms to be set out in an Asset Transfer Agreement between the Transferor and Transferee (the Agreement), subject to the satisfaction of, inter alia, certain conditions precedent set out in the Agreement. In the event that the Agreement is duly completed in accordance with its terms, the Transferee intends to carry on the Business from the Business Locations.
