(l) A State Officer shall in the exercisc of oversight ovcr implcmcntation of projects not interferc with such implcmentation in any wry. (2) A State OfFrcer shdl not irfluence the undcrtaking of any projcct without prior planning or budgcting. (3) A State Officir shall not dcmand or accept any kickbacks, gifts, bcncfits or other favours from contractors or other persons or entitics who rrc engagcd in implcmcntation of proicts. (4) A State Offrccr shall not compromisc or abct compromising of standards of any project. (5) A State Officcr shall, subject to the law, disclosc all rclcvant information regerding any projcct to any pcrson requiring such information. Preferential Eeatment 38. A Statc Officcr shall cnsurc cqual and equioblc distribution of resourccs to all persons and any section of thc population in his area of jurisdiction and shall not confcr any undue advantagc to any person or scction of the population. PART III_ENFORCEMENT OF THE CODE 39. (l) Any person may lodge a complaint alleging a brcach of this code by a State Officer to the Office or to thc commission. (2) Brcach of this Codc amounts to misconduct for which the State Officcr may be subjectcd to disciplinary proceedings including rcmoval from officc. (3) Wherc a Brcach of this code amounts to violation of the Constitution, the Statc Offlrccr may be removed from the office in accordancc with the applicable laws. (4) Where an allegation of breach is made to thc Office, the person alleging thc breach shall submit a pctition sctting out the grounds and facts of thc alleged violation to thc Aulhorized Officer of the Officc. (S)'Upon reccipt of thc Complaint, the Officc shall register and carry out invcstigations into the complaint, and may takc aition against the Starc Officer in accordance with the Act, Standing Orders of thc Assembly, any Rcgulations made by the Commission under the Act or othcr law that for thc timc bcing governs the conduct of Starc Officem in thc Asscmbly (6) If upon invcstigation into the alleged brcach of the Code, the Office is of thc opinion that civil or criminal proceedings ought to bc preferred against thc respective State Officer, it shall refer the mattcr to: (a,) Thc Commission, with rcspect to civil matters; and (D) Thc Dircctor of Public Prosecutions with rcspect to criminal matters. (7) Wherc the domplaint is rnadc to thc Commission, the Commission shall take such action against the Statc OfFtccr as it decms neoessary in accordance with its mandate under thc law. (8) Notwithstanding sub-paragraph (5), the Commission may, subjcct to the law, take any additional action it dcems appropriarc in relation to any breach of the Code or require the Officc to take any action against a State officer who has breachcd thc Code. Victimization 40. Public Collections 18. (1) A State Officer shall not solicit for contributions from the office or any other person or, public entity for a public purpose unless the President has, by notice in the Gazette, dsclared a netional disaster and allowed a public collection for the purpose of the national disaster in accordancc with the law. (2) A Statc Officer shall not participatc in a public collection of funds in a way that rcflects edverscly on the Starc Officers' integrity, impartiality or interferes with the performance of the official duties. (3) Nothing in this clause shall be construed as prohibiting a State Officer from making voluntary contribution. Bank accounts outside Kenya 19. (l) Subject to Article 76 (2) of the Constitution or any other written law, a Statc Off,icer shall not open or continue to opcrate a bank account outside Kenya without the approval of the Commission. (2) A State Officer who has reasonable grounds for opening or operating a bank account outside Kenya shall apply to the commission - for approval to open or operate a bank account outside Kenya. (4) Subjcbt to subparagraph (l) and (2), a person who is appointed as a State Officer in the office and has a bank account outside Kenya shall, upon such appointment close the bank account within 3 months or such other pcriod as the Commission may prescribe by noticc in the Gazclle. (5) Subject to subparagraph (4) a State OfEcer may open or continuc to olrcrate a bank account outside Kcnya as may be authorized by thc Commission in writing. Acting for foreigners 20. (l) A Slatc Officcr shdl not bc an agent of, or further the intcrcsts of a forcign government, organization or individual in e manner that may be detrimental to thc sccurity interests of f(cnya, cxccpt when acting in the coursc of officiql duty. (2) For the purposes ofthis pragraph- (c/ an individual is a foreigner if thc individual is not a citizen of Kcnya; and (d) an orgaaization is foreign if it is established outside Kenya or is owncd or controllcd by r foreign govcmment, organization or individual. (l) A Starc Officcr shall take all reasonable steps to ensue that public propcrty in his or hcr custody, possession or control is taken care of and is in good repair and condition. (2) A State Officer shall not use public property, firnds or services that are acquired in the course of or as a result of the official duties, for private activities or activities that arc not rrlatcd to thc official work of the Starc Officer. (3) A State Offrcer shall return to the office all the public prop€rty in his or her custody, posscssion or control at the end of the election or contract t€nn. (4) A StatE Officer who contravcnes subparagraph (2) or (3) shall, in addition to any othcr penalties provided for under the Constitution, the Act or any othcr law, be personally liable for any loss or damage to thc public propcrty. Misuse of oficial infornation 22. (l) A State Officer shall not directly or indircctly use or allow any person under the officers authority to usc any Information obtained through or in conncction with the office, which is no1 available in the public domain, for the furthcring of aay private interest, whethcr flnancial or otherwise. (2) A State Officer shall not bc deemcd to havc violated the r€qufuements of subparagraph (l), if the information givcn- (d) pursuant to a court order; (e) for purloscs of educational, research, lircrary, scientific or other purposes not prohibited by law; or (/ in compliance.with Articlc 35 of the ,Constitution and the rclevant law. Impartiality , 23. A Statc Officer shall, at all timcs, carry out the duties of the Office with impartiality and objectivity in accordancc with principles end valucs set out in Articlcs 10, 27,73 (2)b) and 232 of the Constitution and shall not practicc favoutitism, nepotism, tribalism, cionyism, rcligious bias or cngage in other prcfcrential treatmcnt of another Stltr Officcr, Public Officer or a member of the public. Thissuit wasbroughtvide a statementof claim fubsequcnt to a report of dispute to thc Cabinet Secretary in charge of Labour. 2. The issues in dispute as reported by the claimant Union were: (c) Intimidation and victimization of the claimant members by the rcspondent on account of affiliation to the clairiant union. (D) Unlawful deduction ofagency fee and 0.5'lo ofservice charge from the claimant members by the respondent; and (c) Refirsal by the respondent to sign Recognition Agreement with the claimant - 3. TheclaimantUnion further relieson the Affidavitsof Kcvin $y'akamila, Kennedy Njogu and Joseph Kosima. 4. The facts of thc casc may be summarized as follows; that elaimant states that by 3oth July 2014, it had recruited 203 employces of the respondcnt out of 295 unionisable staff. The clairirant states that it commands 69olo of membcrship of all unioirisable employees of the respondent and therefore has satisfied the requirement of section 54 (l) of the Labour Relations Act, 2007 to be recognized as the sole bargaining union on behalf of the employees of the respondent. 5. That the claimant union had written to the respondent seeking to be recognizcd and the respondent to effect deductions of union dues from its members and remit the same to the union. 6. That the respondent has declined to recogniz€ the claimant union stating thar it belongs to an association of employers that has rccognition with Kudheiha. The association has a Collective BargainingAgreement (CBA) with KLJDTIEIHA as the sole bargaining union on the t€rms and conditions of employment of all the employees of the group of employers who are mcmbers of the association including the employcr of the respondent. 7. That the respondent has the right and authority in terms of section 49 (1) of the Labour Relations Act to deduct agency fee from all of its employees who arc not members of KUDHEIHA but are benefiting from the CBA negotiations on behalf of all unionisable employees by' KUDffiIHA with Respondent. E. The Respondent denies that it has harassed, intimidaled, victimized and/or dismissed from employment any of its cmployees on the grounds that such an employee has joined the claimant union. The respondent further states that it is entitled to deny the claimant union recognition. 9. The respondent prays that the issues in dispute be determined in favour of the respondent. The claimant on the other hand prays that the suit be determined in its favour. 10. The issues in dispute in this matter are on allfour with the issues in dispute in ELRC Petition No 5 of 2013 Kcnya Hotels & Allied Workers Union Vs The Hon Attomey General & Others. The matter was heard and determined by a three Judge bench of NDERI Nduma, Maureen Onyango and Linnet Ndolo JJ on 6th November,2015. ll.In that case, the issues were whether the respondent was obliged to recogaize the claimant union notwithstanding that thc respondent was a member of the Association of Hoteliers, which had a rpcognition agreement and a CBA with KUDHEHIA. 12. The claimant union had -recruited what it said was majority ofunionisable employees ofthe respondent but the respondent had failed to recognize it and had continued to levy agency fees from the claimant union members and remitted the same to KUDHEHIA the rival union. It was also alleged as in the present case that tlle respondent had victimized and intimidated the claimant's members due to their union affrliation. I 3. The bench relying on Uniled States of America case of Aboad vs Detroit Board oJ Education 431 US 20e (1997); Communication Workcrs of,Lnerica vs Beck 487 US 735 (1998) and Chicago Union vs Hud 10 475 US 292 ( 1986) held. nThese cases demonstrate that it is valid for a union to charge agency fees as a corttribution to the cost of collective bargaining provided that such fees are not used to further political or other ideological activities that . arc umelated to collective bargaining_. and representation of the workers. The purpose of agency fees is to compel non-union members who benefits from the union's negotiated CBA to contribute to the cost at negotiating'and to rid off the union of free ridcrs. An employee wfio is charged agency fee is not consulted on the same. He is required to pay as long as he is benefiting from the CBA negotiated by the union charging agency fees' 14. The court found that charging of agency fees does not violate freedom of association as provided in Article 41 of the Constitution of Kenya 2010 nor does it violate property rights protected under Article 40 of the employee who benefits from the proceeds of a CBA lib€ in this case. This was a majority decision of the court which the court is not persuaded to depart from or distinguish in the present case. This issuc is therefore decided in favour of the respondent. 15. On the issue whether or not the respondent ought !o rccognize the claimant union,relying on the decision of the court in ELRC MombasaCauseNo 380 of 2013, Kenya Hotels & Allied Worbers Union Vs Pangoni Beach Resort which dealt with similar issues as in the pres€nt case,the court is of the congidered view that just as the employees of the respondent have fteedom of association under section 4(1) (b) and (c) of the Labour Relations Act. So does the empfoyer have the freedom to join an employer's organization as the respondent has done in this case. '16. The clrimant started recruiting employees of the respondent whilst the respondent was a member of the Kenya Hotelier and Caterers Association.The Association had a CBA with the rival union KUDHEHIA. 17. For that reason, the claimant union to dislodge KUDHEHIA from being the sole union to negotiate the terms and conditions of employment of the employees of Hotels who are members of the Association, it has to recruit a simple majority of employees of the Hotels who arc members of the Association and not a simple majoriry in one hotcl only. 18. The court stated; "In the prcsent case, the grievants have allegedly. voluntarily left KUDHEIHA to join the claimant. KUDHEIHA has a CBA with the employers'organization in the hotel industry where the respondent is a member. Should the respondent be compelled to leave her organization to engage the claimant alone in negotiating another CBA? The court is of thc view that doing so would be a violation of the respondent's right.
