CoMPETITIoN AUTHoRITY oF KENYA
IT IS notified for general information of the public that the
Competition Authority of Kenya has, pursuant to paragraph 5 of the
Schedule to the Competition Act, 2010, adopted the Code of Conduct set out in the Schedule as the Code of Conduct for members and members of staff of the Competition Authority.

CODE OF CONDUCT FOR MEMBERS AND MEMBERS OF
STAT OF I}TE COMPETITION AUTHORITY OF KENYA
PART 1.0: STATEMENT OF INTENT
1.1 Estabhshment
By establishing this Code of Conduct, the Competition Authority of Kenya fulfills its statutory obligation undcr tJre Competition Act, 2010, and demonstrates its commitment tro servc the public. In accordance with its Vision and Mission Siatement, the Authority is committed to carry out its mandate with honesty, integrity.
accountability, impartiality and professionalism.
I.2. Intention
This Codc of Conduct is intended to ensure that all mcmbers and members of staff perform and frorn the perspective of the public, are seen to perform, their official duties professionally, impartially and solely and consistently in the public int€rest. It claborates standards of conduct and responribility.
1.3. Obligation
Every member and member of staff shall have the gencral obligation to comply with all applicablc laws, rulcs and regulations, both in letter and in spirit whrle discharging duties, performing functions or exercising powcrs conferred or vestcd in the Competition
Authority of Kenya by such laws, rulcs or regulations.
PART 2.0 _PRELIMINARY PROVISIONS
2.1 Citation
This Code may bc circd as thc Cod€ of Conduct for mcmbcrs and members of staff of the Compctition Authority of Kcnya.
2.2 Application
This Code shall apply to membcm rnd membcrs of staff of thc
Competition Authority of Kenya during and to an cxtrnt after thcir respectivc trnurcs of officc. For avoidancc of doubt, upon the expiration of thcir rcspcctivc tcnurcs, cach mcmbcr or membcr of staff shall continue to obscrve a conduct that complics with the provisions of this Code on separation from the Authority.
2.3 Intcrpretation
In this Code, unless the context requires otherwisc-
"Act" means the Compctition Act,2010;
"Authority" mcans thc Competition Authority of Kcnya established undcr section 7 of the Act;
"business activity" means thc purchasc, salc or rcntal of goods, works, scrvices or rc.I estate, or any intercsts thgrcin;
"Cabinct Secretary" mcans thc Cabinct Secrctary responsiblc for finance;
"conflict of intcrcst" mcans a situation or circumstancc in which a member or member of staff has a private or personal intcrcst sufficicnt to appcar to influcnce ttre objcctive and impartial excrcisc of his or hcr official duties:

"Director-General" means the Dircctor-General appointed under section 12 of the Act;
"leaving the Authority" means termination of mcmbership in the
Authority by a mcmber or termination of employment by the Authoriry of a member of staff;
"member" means a member of the Authority appointed under section 10 of the Act;
"member of staff' means any pcrson cmployed by the
Authority, including the Director-General, Divisional Directors, other officers and mcmbcrs of staff, and consultants of'cxperts who may be cngaged to assist the Authority perform its functions and cxercisc its powers;
"pecuniary intercst" means direct or beneficial ownership of any of the following financial interests-
(a) shares;
(b) securities;
(c) dcbt obligations and proprietary oi partrrership interests;
(d.) royalties;
(e) income;
A compensation;or
@ any other payments or any kind;
"pcrson" means an individual or a corporation, a partncrship, a trust, an unincorporated organization, a government or any agency or political subdivision thereof ;
"primary party of interest" means a person subject to the jurisdiction of thc Authority or a person who realizes sighificant portion of its business activity from making transactions with, or fumishing goods or scrvices to a person subject to the jurisdiction of the Authority;
"rclativc" means
-
(a) a spouse, child. parent. brother or sister:
(b) a child, parent, brother or sister of a spouse; or
(c) any other prescribed relative;
"secondary party of interest" means a person other than a primary party of interest, materially affected, directly or indirectly, by a matter that is, or is expectcd to bc, pending beforc the Authority;
"substantial" means t}te ability to materially influence thc policy of an undertaking;
"trickery" means the use of practice of tricks or ploy to deccivc.
2.4 Guiding values, principles and requirements
(l) A member or member of staff of the Authority shall rcspect the values, principles and requirements of the Constitution and the
Leadership and Integrity Act, 2012, including-
(a/ the national values and principles provided for under Articlcl0 of the Constitution;
(D/ the rights and fundamcntal freedoms provided for undcr
Chaprcr Four of the Constitution;
(c) thc principles governing the conduct of the membcrs and mcmbcrs of staff of the Authority providcd for under Articlc 75 of the Constitution;
(d) in so far as is rclevant, the valucs and principles of Public
Serviccs as providcd for under Article 232 of the Constitution.
(2) Nothing in this Codc ofConduct shall be construed in any way as diminishing or derogating from the valucs and principles under section 3(2) of thc lradership and Intcgrity Act, 2012.
PART 3.o-GENERAL STANDARDS
3.1 Inrcmal matters
(1) A relativc of a mcmbcr or of a mcmber of staff shall not be cmploycd by thc Authority cxcept where thc Authority has waived the prohibition upon detcrmining that tlte respective membcr or mcmber of staff would not be in a position administratively or managcrially subordinate to such rclative.
(2) Where a mcmbcr of staff becomes a relative of another mcmber of staff whilc both are employed by thc Authority, neithcr of such membcrs of staff shall bc administrativcly or managerially subordinatc to the other.
3.2 Rule of law
(1) A member or member of staff of the Authority shall respect and abide by the Constitution and the law.
(2) A member or member of staff of the Authority shall carry out the duties of the office in accordance with the law.
(3) In carrying out the duties, the member or member of staff of the
Authority shall not violate the rights and fundamental freedoms of any person and shall adherc 0o the law and Article 24 of the Constitution.
3.3 Public trust
The officc of a member or member of staff of the Authority is an office of public trust and the responsibility vested in the member or member of staff of the Authority shall bc exercised by the member or member of staff of the Authority in the best interest of the people of
Kenya.
3.4 Rcsponsibility and duties
Subject to thc donstitution and any othcr written law, a member or membcr of staff of the Authority shall takc personal responsibility for the reasonably foreseeable consequenccs of any actions or omissions arising from the dischargc of the duties of the office.
3.5 Performance of duties
A member or member of staff of the Authority shall, to the best of their ability-
(a) carry out the duties of the offrce efficiently end honestly and in a transparent and accountable manner;
(b) keep accurate records and documents relatrng to the functions of the office; and
(c) report mthfully on all matters of the organization which they represent.
3.6 Profcssionalism
Members and membcrs of staff shall:
@) pertorm their official duties in a way that enhances public confidence in the Authority;
, (b) skive to continually improvc their professional compctence and ability to serve the public;
(c) offcr profcssional scrvice !o all stakeholders and the public and treat'all persons making requests with dignity, respect and with the intent to provide helpful information;
(d) conduct themsclves and thcir official duties with faimess, objectivity and integrity;
(e) nol engage in any form of discrimination, bias or harassmcnt either within or outside the Authority;
(fl refrain from taking part in any activity of public scrvicc dury or transaction wherc they have, or may appcar !o havc, a conflict of intcrest, which includes but is not limited to participating in tenders for the supply of goods or scrviccs to thc Authority or any other entity in which the mcmber or member of staff is serving or otherwise associatcd but thc holding of shares by a member or mcmber of staff of the Authonty in a company shall not be construed as participating in a rcnder of the company unless the mcmber or member of staff of the Authority has a contmlling shareholding in the company;
(g) dress in respcctable attirc and observe office etiquette as provided for in various Authority circulars.
3.7 Financial integrity
( l) A mcmber or member of staff of the Authority shall not use the office to unlawfully or wrongfully enrich himsclf or hcrself or any other person-.
(2) Subject to Article 76(2)(b) of the Constitution, a member or member of staff of the Authority shall not accept a personal loan or bencfit which may compromise thc member or member of staff in carrying out the duties of office.
3.8 Service quality standards
Members and members of staff shall deliver service that is timely, accessible, efficient, confidcntial and respecffirl of all persons involved.
3.9 Protectron of assets
(1) The members and members of staff shall not use the assets of the Authority for personal gain, including tangible assets such as equipment and machinery, systems, facilitres, materials, resources as well as intangible assets such as proprietary rnformation or relationshrps with primary or secondary parties of rnterest, and shall employ sueh assets for the purposes of conducting the business for which they are duly authorized.
(2) The members and members of staff shall return to the
Authority all thc public property in their custody, possession or control at the end of their appointment at the Authority, (3) A member or member of staff who contravenes subparagraphs (1) or (2) shall, in addition to any other penalties provided for under the Constitution, the lradership and Integrity Act, 2Ol2 or any other law, be personally hable for any loss or damage to the public property.
3. 10 Proscribed activity
A membet or member of staff shall not-
(a) engage in fraudulent, wasteful, abusive or comrpt activities of practicesi
(b) use his or her position to obtain unwarranted privileges or personal benefits for lvhich he or she would otherwise not be eligible;
(c) solicit or accept bnbes or favours, drrectly or indrrectly, from any peGon;
(d.) make any decrsron based upon any hope or expectation of future employment with any primary or secondary party of interest;
(e) acquire any direct financial interest. in any primary or secondary party of interest;
A directly or indrectly sohcit, request, suggest or recommend to any primary or secondary party of interest the commencement or continuation of a business activity with any person that is subject to the jurisdiction of the
.Authority;
k) engage ln activities that amount to abuse of office;
(h) engage in wrongful conduct in furtherance of personal benefit;
O misuse pubhc resources;
(j) discriminate againqt any person and strictly adhere to the law;
(k) falsify any records;
(l) engage in actrons which would lead to removal from the membershrp of a professional body in accordance wrth the law; and
(lrl) commit offences under any law including any of the offences under Parts XV and XVI of the Penal Code, the Sexual
Offences Act, 2006, the Counter-Traffickrng in Persons Act, 2010 and the Children Act,20O1.
3. 1 1 Reporting of unethrcal conduct
Members and members of staff shall report suspected rncidents of illegal, unethical, or unprofessional conduct through the channels of communication described in this Code.
3.12 Political neutrality
(l) An appointed member or member of staff shall not, in the performance of ther duties-
(a) act .,,s an agent for, or further the interests of a political party or candidate in an election; or
(b) manifest support for or oppositron to any polrtrcal party or candidate in an election
(2) An appointed member or member of staff shall not engage in any political activity that may compromise or be seen to compromise the political neutrality of the Authority subject to any laws relating to electrons.
(3) Wrthout prejudice to the generality of subparagraph (2) a member or member of staff of the Authonty shall not-
(a) engage in the activities of any politrcal party or candidate or act as an agent of a political party or a candidate in an election, (b) publicly rndrcate support for or opposition against any polrtrcal party or candidate partlcrpating rn an election.
3.13 lmpartrality
A member or member of staff shall, at all times, carry out the duties of the offrce with impartiality and objectivity in accordance with
Articles 10, 27,73(2)(b) and 232 of the Constitution, and shall not pracuse favoritism, nepohsm, trrbalism, cronyism, religious bias or engage in corrupt or unethical practices.
3.14 Public collections
( I ) A member or member of staff shall not solicit for contributions from the public for a pubhc purpose unless the President has, by notrce in the Gazette, declared a national disaster and allowed a publtc collectron for the purpose of the national disaster in accordance with the law-
(2) A member or member of staff of the Authonty shall not take an active part in public collections of any kind and shall not-
(a) use hrs office or place of work as a venue for soliciting or collecting money for harambees; or
(b) erther as a collector or promoter of a public collectron, obtain money or other property from a person by using hrs official position in any way to exert pressure.
3.15 Bank accounts outside Kenya
Subject to Article 76(2) of the Constitutlon or any other written law, a member or staff shall not open or continue to operate a bank account outside Kenya without the approval of the Ethics and Anti-
Comrption Commission.
3.1 6 Conduct of private affairs
A member or member of staff shall conduct pnvate affairs rn a manner that maintains public confidence in the integrity of the office.
3.17 Tax, financial and legal obligations
(1
) A member or member of staff shall pay any taxes due from him or her within the prescrrbed period.
(2) A member or member of staff shall not neglect tler financral or legal obhgatrons.
3.18 Bullyrng
(1) A member or member of staff of the Authority shall not bully any other membr or member of staff or any other person.
(2) For purposes of subparagraph (1), "bullying" includes repeated offensive behavior which is vindictive, cruel, malicious or humiliating and rs rntended to undermine a person.
3.19 Sexual harassment
(1) A member or member of staff of the Authonty shall not sexually harass a member of the public or a fellow member or member of staff of the Authoriry.
(2) For purposes of subparagraph (1), "sexually harass" includes doing any of the followrng, rf the person doing it knows or ought to know that rt rs unwelcome-
(a) makng a request or exerting pressure for sexual activity or favours;
(b) making lntentional or careless physical contact that is sexual in nature; and
(c) making gestures, noises, jokes or comments, including rnnuendos, regarding another person's sexuality.
PART 4.o-CONFLICT OF INTEREST
4.1 Conflict of interest
(1) Members and members of staff may take part rn any activity provided that such activrty does not-

(a) rnterfere with the performance of their duties at the
Authority;
(b) constitutea competitrve advantage accrulng to their posrtion at the Authonty; or
(c) negatively affect the carryrng out of therr duties at the
Authority.
(2) Conflicts of interest while serving as a member or member of staff of the Authority comprise, among others, the following
-
(a) a substantial financial interest in a primary or secondaryparty of interest;
(b) employment by a primary or secondary party of interest ;or
(c) the conduct of a business activity wlth a primary or secondary perty of interest.
(3)A member or member of staff shall not acquire interest that conflrcts, or may conflict, wlth the performance of his or her duties at the Authoriry.
4.2 Declaration of interest
(1) Every member and member of staff shall declare any conflict of interest regarding any matter which he or she is dealing wrth at the
Authority.
(2) A member or member of staff who fails to declare a conflrct of interest or who knowingly makes a false or misleading declaration regarding a material fact of a conflict of interest, shall be in breach of this Code.
(3) In the event that a mcmber or member of staff identifies a conflict of interest regarding any matler which is before or which may come before the Authority, such member or member of staff shall dmclose lt and thereafter refrain from taking part in its mnsideration or determination.
(4) Where a member or member of staff is re4uired by this Code to report a matter in regard to ttiis paragraph of the Code, such member or member of staff shall submit a written rcport to their supervisor, whrch shall include a declaration of interest at the beginning of the meeting or before the issue which is likely to result in a conflict of interest is deliberated upon.
(5) A dectaration of a conflict of interest under subparagraph 4 shall be recorded in the mrnutes of the meeting.
(6) Upon receipt of the rcport under sub-paragraph (4), the supervisor shall refer the matter to the Director-General for a resolution.
(7) When a matter has been referred to the Director-General for resolution pursuant to subparagraph (6), the Director-General shall either-
(a) dispose of the matter; or
(b) refer the matter to the Authority for resoludon where no resolution was reached.
(8) In the event that the Director-General, or upon his or her referral under subparagraph (7), the Authority finds that a matter requrres remedial action, the Director-General or the Authority, as the case may be, may require the member or member of staff-
(a) to divest the conflicting interesu or
(b) to assign those duties that are in conflict to another member of staff where appropriate, either temporarily or permanently.
(9) In the event that a member or member of staff refuses or is unable to divest the interest identified in subparagraph (8), the
Authority shall, after determining that no other remedial action will be consistent with the Act and the requirements of this Code, take appropriale action against such member or member of staff.
4.3 Register of conflicts of interest
(l) The Authorif shall establish a Register of conflict of interest to be maintained by the Director-General or an offrcer designated by the
Director-General, statlng the nature and extent of the conflict.
(2) For purposes of subparagraph (1), the registrable interest shall be comprised of declarations of conflict of interest.
(3) The Autholty shall keep the register ofconflicts of interest for five years after the last entry rn each volume of the register.
(4) lt shall be the responsibility of the member or member of staff to ensure that an entry of registrable interests under subparagraph (l
) is updated and to notify the Authority of any changes in the registrable interests within one month of each change occurring.
4.4 Register of gifts and benefits in kind
(1) A gift or donation given to a member or member of staff on a public or official occasion shall be treated as a gift or donation to the
Authority.
(2) Notwithstanding subparagraph (1), a membcr or member of staff may receive a gift given to the offrcer in an offrcial capaciry, provided that the gift-
(a) is within the ordinary bounds of propriety. a usual expression of courtesy or protocol and within the ordinary standards of hosprtality;
(b) is not monetaryl and
(c) does not exceed such value as may tre prescribed in the regulations made by the Public Service-Commission.
(3)Without limiting the generality of subparagraph (2), a member or member of staff shall not-
(a) accept or solicit gifts, hospitaliry or other benefits from a person who-
(D has an interest that may be achie-ved by ihe carryrng out or not carrying out of the officefs duties;
(ri) carries out regulated activities which are regulated by the
Authority; or
(iii) has a contractual or legal relationship with the Authority;
(b) accept gifts of jewelry or other gifts comprising of precious metal or stones ivory or any othcr admal part protected under the Convention on Intemational Trade in Endangered Species of Wild Fauna and Flora.
(4) A member or member of staff of the Authority shall not receive a gift which is given with the intention of compromising integrity, objectivity or impartiality.
(5.t Subject to subparagraph (2), a member or member of staff who receives a gift or donation shall declare the gift or donatron to the
Authority.
(6) In order to avoid compromising the Authority's corporate values and etiquette, members and members of staff shall exercise due carc and diligence in accepting gifu, hospitality or other benefits from any party of interest or from contractors or any supplier of any goods or services to the Authority.
PART 5.o_CONFIDENTIAL INFORMATION
5. I Security of Informatlon
Members and members of staff shall ensure the security of all information, printed and electronic, in their possession.
5.2 Confidential informatron
(1) Members and members of staff are bound by section 84 of the
Act in respect of confidential information.
(2) Confidential rnformation is any information in the Authority's possession-
(a) which has been declared confidential by the Authority;
(b) is technically or commercially sensitive and not already lawfully in the public domain;
(c) the disclosure of which might adversely affect the competitive position of any person; or
(d) is determined to be confidential under any applicable law.
(3) Any member or member of staff who discloses confidential information otherwise than authorized under the Act shall be in breach of this Code and the following action shall be taken-
(a) in respect of a mcmber of staff, Eryopriate.action against such memhor'ofstaff; antl

(D) in respect of a member, the member shall be required to resign and where such member refuses or fails to resign, advise the appointing authority to take appropriate action against such member.
5.3 Misleading the public
A member or member of staff of the Authority shall not knowingly give false or misleading information to any person.
5.4 Separation from the Authority
(l) A member or member of staff shall not, during a period of two years after leaving the Authority unless with the approval of the
Authority-
(a7 become a member of staff of any organization which is regulated by the Authority;
(b,) conduct any business activity directly or indirectly linked with any matter before the Authority;
(c) acquire a pecuniary intcrest in any organization in respect of which a matter previously arose before thc Authority and such member or mcmber of staff-
(D participated in the decision thereon;
(iD handled or advised the Authority thercon; or
'
(iii) supervised the members of staff dealing with the matter within the two years immediately preceding the departure of such member of staff from the Authority;
(d) disclosc any confidcntial information acquired during membership or employment with the Authority or use such information for personal gain.
(2) A member or membcr of staff shall not, during a period of two years after leaving the Authority, reprcsent any person beforc the
Authority on any matter on which such rnember or membcr of staff-
(a) participated in dccision thereon;
(b) handled;
(c) advrsed a member or the Authority; or
(d) supervrsed other members or mcmbcr of staff who handled such matter while such member or member of staff scrved in the Authority.
6 Prohibited conduct
(1)A member or membcr of staff shall not take advantagc of or personally benefit from information obtaincd in the course of his or her official duties and responsibilities that is generally not available to the public at the Authority.
(2) The provisions of subparagraph (l), shall not apply where che rnformation is intended to be uscd for the purposcs of-
(a) furthering the interests of the Public Officcr's Ethics Act,2003;
or
(b) educatronal, research, litcrary, scientific or other purposes not prohibited by law.
(3) A member or member of staff of the Auttrority shall neither ask for nor accept proprty or a bencfit of any kind, for himself or for any person, on account of anything to be donc, or omittcd to be done, by him in the discharge of his duties or by virtue of his official position.
(4) Subject to this paragraph, a member or mcmber of staff of the
Authority or members of their family shall not solicit or accept any gifts, gratuity, hospitality, frec passages or favours from any person or from anybody corporate or unincorporated, that might rcasonably be thought to influence, or intended to influence, him in thc performance of his duties.
(5) A member or member of staff of thc Authority shall be held responsible for the observance of the provisions of subparagraph (4) by the members of their families.
(6) Subject to subparagraph (4), a gift or donation to a mcmber or member of staff of the Authority officer on any public or ceremonial occasion shall be treated as a gift to the Authority.
(7) Wherc a gift or donation of the nature specified in subparagraph (4) is given without thc knowlcdgc of the membcr or member of staff of the Authority, or wherc it would be offensivc to custom or against good public relations to rcfuse thc gift, such rnember or member of staff of the Authority shall forthwith rcport the matter to the Director-Gcncral, who shall direct the appropriate modc of disposal of any such gift or donation and the member or member of staff of the Authority shall comply with such direction.
(8) Notwithstanding any other provisions of this paragraph to the contrary, but subject to scctionll(3) of the General Code of Conduct and Ethics set out in trc Public Ofhcers Ethics Act, a member or member of staff of the Authority may-
(a) acccpl gifu which are occasional and inexpensive or in the form of a souvcnir; or
(b) accept personal gifu or donations from rclatives or frrends on such special occasions as may be recognized by custom.
(9) Whcre prcsents are exchanged betwcen officers acting on behalf of the Authority in ceremonial intcractions with similar bodies or their reprcscntativcs, the pr€sents rcceived shall be handed over to the Director-General who shal! direct the appropriate mode of disposal, and any reciprocal prescnts shall be given at the expense of thc Authority.
PART 7.o_PUBLIC INTERFACE
7. I Conduct of investigations
(l) Whilc discharging their respective dutics the member of staff shall conduct investigations in such a way that all matters are investigated diligcntly, fairly, honestly and appropriately.
(2)A membet of staff shall not obtain any information by way of coercion, collusion, dcccit, intimidation or trickery.
(3) During the course of investigations, the member of staff of the
Authority shall seek the information rcquired making an informed decision regarding the mattcr in question.
7.2 Media rclations
(1) The Authority shall communicate with the public on any issue relating to it through-
(a) the Director-Gcneral; or
.
(b) any pcrson duly authorized by the Director-General.
(2) Membcrs and members of staff shall not b€ held liablc by the
Authority in rcspcct of any statement made by them to the media provided that such mcmbcr or member of staff acted with the authority of thc Director-Gencral and in good faith and within the scope of his or hcr dutics.
7.2. I Channelsof Communication
(l) Mcmbcrs and membersof staff shall cmploy the following channcls of comrnunication when reporting incidents of illegal, uncthical or unprofessional conduct as described in paragraph
3.6-
(a) where thc incidcnt involves two or more members or between mcmbers of staff and the Director-General, communication shall be to the Chairman;
(D) whcrc the incidcnt involves a member and member of staff, communication shall be to the Director-Gencral;
(c) where the incident involves a member and the Chairman, communication shall bc to the Cabinet Secretary;
(d) wherc the incidcnt involves two or morc members of staff, communication shall be to the Director- General; and
(a) membcrs of staff shall communicate with their immediate supcrvisors or thc Director-Gencral, (2) When considering communications related to unethical behavior, the Cabinet Sccretary, thc Cheirman or the Director-Gcneral as apprcpriatc, shall fairly and expcditiously address or investigatc and dctcrminc all mancrs bmught to its attention.
7.3 Ancndance at confcrences and stakeholder events
Any invitation to a memb€r of staff to attend or speak at a confcrcrrce or stakcholder event related to the activities of the
Authority shall bc commuflicated to the Director4eneral, who shall-
(a) notlfy the respcctive member about such attendance or speaking engagement; and
(b)
Eivc the authorization (whcre apphcable) in writing for such attendancc or speaking cngagement.

PART 8.0
-MISCELLANEOUS
8. I Contravention of the Code
(l) The Authority shall submrt thrs Code of Conduct to the Ethics and Anti-Comrption Commissron for approval upon confirming that it is consistent with the General Code prescnbed under Part Il of the
Leadership and Integrity Act,20l2 and any other written law and the
Constitution.
(2) This Code of Conduct shall be implemented in line with the
Constitution, the Public Officer Ethics Act and the Leadership and
Integrity Act,2012.
(3) Where a member or member of staff contravenes this Code, appropriate action shall be taken as provided for in lradership and
Integrity Act,Z0l} the Public Officer Ethics Act, and Article 183 of the Constitution.
(4) The action contemplated under subparagraph (3) shall comprise-
(a) (a)in respect of a member of staff, appropriate action against such member of staff; and
(b) in respect of a member, a request for the member to resign, and where such member refuses or fails to resign, advice to the appointing authority to take appropriate action such member.
E.2 Amendments
The provisions of this Code may be amended or modified by the
Authority from time to time, and all such amendments and modifications shall take effect from the date stated therein.

CoUNTY EXECLTIVE oF THE CoUNTY GoVERNMENT oF NAKURU
PURSUANT to section 37 of the kadership and Integrity Act, 2Ol2 the County Executive of the County Government of Nakuru establishes thrs kadership and Integrity Code to be observed by and binding upon State Officers in the County Executive.
PART I-STATEMENT OF INTENT
A Leadership and Integrity Code for State Officers in the County
Executive of the County Govemment of Nakuru made pursuant to the provisions ofSection 37 ofthe Iradership and Integrity Act,2Ol2 zrtd to give effect to Chapter Six of the Constitution of Kenya. The Code is intended to establish standards of rntegrity and ethical conduct in the leadership and management of public affairs of the County Executive by ensuring $at the State Officers respect the values, principles and provisions of the Constih:tion and other applicable laws or policies on the standards of conduct and performance expected of holders of public office in the discharge of their duties.
PART II-PRELIMINARY PROVISIONS
Cilation l. This Code may be cited as the lradership and Integrity Code for
State Officers in the County Executive of Nakuru County.
Commencement
2. This Code shall come into operation within seven days of its publication in the Kenya Gazette.
lnterpretation
3. In this code, unless the context otherwise requires-
"Act" means the l,eadership and Integrity Act,20121' [No. 19 of

"Accountrng Offrcer" means the County Secretary of the County
Governmcnt of Nakuru;
"Authorized Ofticer" means the Governor of the County of
Nakuru and includes hrs/her designate, "Bank Account" has the meaning assigned to it under sectron 2 of the Act;
"Code" means the kadershrp and Integriry Code for State
OfTicers in the County Executive of Nakuru;
"Commission" means the Ethrcs and Anti-Comrptron Commrssron established under section 3 of the Ethics and Anti-corruption commissron Act, No. 22 of 201 l:
"Gazelte" means the Kenyu Gaz,ette;
"His" includes the expression "her", "Offrce" means the office the County Executive of Na]<uru
County;
''Personal Interest" meals a matter in rvhrch a State Officer has a direct or indireot pecuniary or non-pecuniarv interest and includes the rnterest of this or her spouse, child, business associate or agent;
"Pubhc Officer" has the meaning assigned to it under Artrcle 260 of the Constrtutron;
"Regulatrons" means the Regulations made by the Ethics and Anti-
Conuption commtssion pursuant to section 54 of the Actl
"Servlng State Officer" means a State Otficer who is in offrce at the time of commencement of thrs Code:
"State Officer" means a Member of the Countv Executive of
Nakuru.
Application of Chapter Six of the Constitution, the Leadership and
Integrity Act,20l2 andtlrc Public Offi<er Ethics Act,2003.
4. The provisions of Chapter Six of the Constrtution, the
Leadership and Integnty Act, the Publrc Officer Ethics Act, 2003 and shall form part of the Code.
Commitment to the Code
5. (l) A State Officer elected or appointed to the County
Executive shall sign and commit to thrs Code at the tlme of tal,ilng oath of office or within seven days of assumrng oflice.
(2) A serving State Officer shall srgn and commrt to thrs Code within seven days of the pubhcation of the Code in the Ga:ctte
(3) The declaratron of commitment to the Code shall take the form and structure set out ln the First Schedule to this Code.
PART II-REQUIREMENTS
Rule of law
6. (l) A State Officer shall respect and abrde by the Constltutron and all other laws.
(2) A State Officer shall carry out the dutres of hrs or her office rn accordance with the law.
(3) In carrying out the dutres of his or her office, a State Officer shall not violate the rights and fundamental freedoms of any person.
Public trust
'7. A State Office is a posrtion of public trust and the authorrty and responsibility vested rn a State Officer shall be exercrsed by the
State Officer in the best interest of the office and the people of Kenya.
Re sponsibility and dune s
8. Subject to the constitution and any other larv, a State Offrcer shall take personal responsrbility for the reasonably foreseeable consequences of any actions or omrsslons arisrng from the discharge of the duties of his or her office.
Performance oJ duties
9. A State Officer shall, to the best of hrs or her abrlrty-
(a) carry out the duties of the office efTiciently and honestly;
(b) carry out the duties of the offrce in a transparent u: I accountable manner;
(c.) keep accurate records and documents relating to the funchons of the officel and
(d) Report truthfully on all matters of the office.
Professtonahsrn
10. A State Offrcer shall-
(a) cany out the duhes of his or her office in a manner that marntains, (b) public confidence and the integrity ofthe officel
(c) heat members of the public, staff and other state and public officers with courtesy and respect;
(d) to the extent appropriate to the office, maintam hrgh standards of performance and level of professionahsm within the office;
and
(e) i the State Offrcer is a member of a professional body, observe and subscribe to the ethical and professional requrrements of that body in so far as the requirements do not contravene the
Constitutron, any other Iaw or this Code.
Financial integri4, I 1. (l) A State Officer shall not use his or her office to unlawfully or wrongfully enrich himself or herself or any other person.
(2) Subject to article 76(2) (b) of the Constitution a State Officer shall not accept a personal loan or benefit which may compromise the
State Officer in carrying out his or her dutres.
(3) a State Officer shall submit an initial declaration of income, assets and habihtres wrthin thirty days of assuming office and thereafter make biennial declarations to the office, and a final declaration within (30) days of ceasing to be a State Officer
(4) The Declaratron under sub-paragraph (3) shall be submitted to the County Public Service Board.
(5) A declaration filed by a State Officer in accordance with the provrsions of sub-paragraph (3) shall be accessible to the Commission and any other person. subject to the provisions of Section 30 of the
Public Officer Ethics Act. 2003.
(6) A State Offrcer shall pay eny taxes, loans or other debts due from him within the prescribed period.
(7) A State Officer shall not neglect their financial or legal obligations.
Moral and ethical requirements
12. (1) A State Officer shall observe and maintain the following ethical and moral requiremenLs-
(a) demonstrate honesty in the conduct of his or her public and private affairs;
(b) not to engage ln activities that amount to abuse of office, (c) accurately and honesty represent information to the public;
(d) not engage in wrongful conduct m furtherance of personal benefit:
(e) not misuse public resources;
/) not falsify any recordsl
(g) not sexually harass or have inappropriate sexual relations with other State Officers, staff of the office or any other person;
(h) not engage in actions which would lead to the State Officers removal from the membership of a professional body rn accordance with the law;
(,'/ not commit offences and rn panrcular, any of the offences under parts XV and XVI of the Penal Code, Sexual offences act,2006, the Counter- Trafficking rn Persons Act, 2008, and the Children Act;
0) not €ngage in fighting or physical confrontation with any person and;
(t) maintain high standards of etiquette at all times.
(2) A person who wishes to be appointed the Office shall for the purposes of this Code, submit to the Commissron a self-declaratron in the form set out in the First Schcdule to the Act.
(3) In respect to a person rvishin-q to be elected to the office, the
Declaration under snb-paragraph (2) shall be submitted to the
Independent Electoral and Boundarres Commtsston.
Gifts or benefits in ktnd
13. (l) A gft or donation given to a State Offrcer on a public or offrcial occasron shall be treated as a glft ofdonation to the office.
(2) Notwithstandrng subparagraph (l) a State Officer may receive a grft grven to the State Officer rn officral capacrty, provided that-
(a) rhe gift is wrthin the ordinary bounds of propnety, a usual expression of courtesy or protocol and within the ordrnary standards of hosprtality;
(b) the gift is not monetaryt or
(c.) the gift does not exceed the value of Kenya Shillings twenty thousand or such other amount as may be prescribed by the
Commission through Regulations.
(3) A State Officer shall not accept or sohcit grfts, hospitahty or other benefits from a person who
-
(a) has an interest in any matter under consideration by the Office;
(b,) has a contractual relatronship with the ofltce;
(c) has any interest that is drrectly or indirectly connected with the
State Officers duttes;
(d) receive a grft whrch has the potentral of compromrsing his or her integrity, objectivity or impartiality; or
(e) accept any type of gift expressly prohibited under the Act.
(4) A State Officer who receives a gift or donation shall declare the gift or donation to the Authorized Officer within seven days of receipt of the grft.
(5) The Office shall maintain a register of all gifts received by the state Officers servlng in the Offrce and another register of all gifts given by the office to other State or Public Officers.
Wrongful or unlawful acquisition of property
14. A State Officer shall not use the office to wrongfully or unlawfully acquire or influence the acquisition of public or other property.
ConJlict of interest
15. (l) A State Officer shall use the best efforts to avoid being in a conflict of interest a situation where his or her personal interests conflict or appear to conflict with the State Officers official duties.
(2) Without limiting the generality of subparagraph (1)-
(a) a State Officer shall not hold shares or have any other interest in a corporation, partnership or other body, directly or through another person, if holding those shares or having that interest would result in a conflict of the State Officers and the officers official duties;
(b) a State Officer whose personal interest's conflict wilh their official duties shall declare the personal interest to the office;
(c) the Office may give directions on the appropriate action to the taken by the State Officer to avoid the conflict of interest and the State Officer shall comply with the directions, and refrain from participating in any deliberations with respect to the matter;
(d) any direction issued by the ofhce under sub paragraph (4) shall be in writing;
(e) notwithstanding any directions to the contrary under subparagraph (4) a State Officer shall not influence the award of a contract to-

(iv) himself or herself;
the State Officers spouse or child;
a business associate or agent; or a corporation, private company, partnership or other body in which the officer has a substantial or controlling interest.
(6) Where a State Officer is present at a meeting, and an issue which is likely to result in a conflict of interest is to be discussed, the
State Officer shall declare the interest at the beginning of the meeting or before the issue is deliberated upon.

(7) A declaratron of a conflrct of rnterest under subparagraph (7) shall be recorded rn the minutes ofthat meetlng.
(8) The Office shall marntaln a regrster of conflicts of interest rn the prescnbed form in whrch an affected State Officer shall register the partrculars of the regrstrable rnterests, statlng the nature and extent of the confllct
(9) For purposes of subparagraph (9), the registrable interests shall include-
(a) the interests set out ln the second schedule of the Act;
(b) any connectron with a person, firm or a company, whether by relation, frrendshrp, holding of shares or otherwise, which is subject of an investigatron by the Constitutron;
(c) any applicatron for employment or other form of engagement with the office by a family member or friend of the State
Officer or by a law firm or corporation associated with the
State Officer;
(d) any applicatlon to the office, by a family member or friend of the State Officer, for clearance with respect to appointrnent or election to any public office; or
(e) any other matter which, in the opinion of the State Officer, taking into account the circumstances thereof, is necessary for registration as a conflict of interest
( 10) The Office shall keep the register of conflicts of interest for five years after the last entry in each volume of the register.
(11) The Office shall prepare a report of the regrstered interests within thrty days after the close of a financial year.
(12) A State Officer shall ensure that an entry of regrstrable intqrests under subparagraph (9) rs updated and to notify the office of any changes in the regishable lnterests, within one month of each change occurring.
Participation in tenders inwted by the office
16. (l) A State Officer shall not partrcrpate in a tender for the supply of goods or services to the office.
(2) Notwithstanding subparagraph (1) a company or entity assocrated with the State OfFrcer shall not be construed as tradlng with the office, unless-
(a) the State Officer has a controlling shareholdrng in the company or entlty, (b) the State Officer rs a director of the companyi or
(c) the State Officer is a managirrg partner rn a law firm providrng services to the office
Pubhc collecttons
17. (1) A State Officer shall not solicit for contributions from the office or any other person or, public entity for a public purpose unless the Presrdent has, by notrce in the Gazette, declared a natronal disaster and allowed a public collection for the purpose of the national disaster in accordance with the law
(2) A State Officer shall not participate in a pubhc collection of funds in a way that reflects adversely on the State Officers' integriry, impartiality or interferes with the Performance of the official duties.
(3) Nothrng in this clause shall be constructed as prohibiting a
State Officer from makrng voluntary contribution
Bank accounts outstde Kenya
18. (l ) SubJect to Artrcle 76(2) of the Constitution or any other wrrtten law, a State Officer shall not open or continue to operate a bank account outside Kenya without the approval of the Commission.
(2) A State Officer who has reasonable grounds for opening or operatlng a bank account outsrde Kenya shall apply to the commrssron for approval to open or operate a bank account outside Kenya.
(3) A State Offrcer who operates or controls the operation of a bank account outsrde Kenya shall submit statements of the account annually to the commrsslon and authorrze the commission to verify the statements and any other relevant rnformation from the foreign financial instrtutron in whlch the account rs held.
(4) Sub1ect to subparagraph (1 I and (2), a person who rs appornted as a State Offrcer in the office and has a bank account outside Kenya shall, upon such appointment close the bank account wrthrn -3 months or such other period as the Commrssron may prescrrbe by nohce in the
Guzette.
(5) Sub.lect to subparagraph (4) a State Offrcer may open or contlnue to operate a bank account outsrde Kenya as may be authorized by the Comrnission rn wrrting.
Actmg for Joreryners
19. (l) A State Officer shall not be an agent of, or further the interests of a foreign government, organrzation or rndrvidual in a manner that may be detrimental to the security rnterests of Kenya, except when actrng in the course of offrcial duty
(2) For the purposes of this paragraph
-
(a) an indiv.idual is a foreigner if the indrvrdual is not a crtizen of
Kenya; and
(b) an otganization is foreign if it is established outsrde Kenya or is owned or controlled by a foreign govemment, organzahon or indivrdual.
Care of property
20 ( I ) A State Otficer shall take all reasonable steps to ensure that public property in his or her custody, possession or control is takeD care of and is in good repair and conditron.
(2) A State Officer shall not use public property, funds or services that are acquired rn the course ofor as a result of the officral duties, for pflvate activlties or activities that are not related to the official work of the State Officer.
(4) A State Officer shalt retum to the office all the pubhc property in hrs or her custody, possession or control at the end of the elecuon or contract term.
(5) A State Officer who contravenes subparagraph (2) or (3) shall, in adddon to any other penalties provided for under the Constitution, the Act or any other law, be personally hable for any loss or damage to the public property.
Misuse oJ fficial inJormation
2l . ( 1) A State Officer shall not drrectly or indirectly use or allow any person under the officers authority to use any lnformation obtained through or in connection wlth the office, whrch is not available in the public domain, for the furthenng of any pnvate interest, whether financral or otherwlse.
(2) A State Officer shall not be deemed to have violated the requirements of subparagraph (l

(D) for purposes of educational, research, literary, scientific or other purposes not prohrbited by law, or
(c) in compliance wrth Article 35 of the Constitution and the relevant law

22. A State Officer shall, at all times, carry out the duties of the
Office wrth rmpartiahty and objecfivity in accordance with principles and values set out in Articles 10, 27, 73 (2)(b) ar'd 232 of the
Constrtution and shall not practlce favouritism, nepotism, tribalism, cronyism, religrous bias or engage in other preferential treatment of another State Officer, Public Officer or a member of the pubhc.

Offers of future entployrnent
24.(1) A State Officer shall not allow hrmself or rrerself to be influenced in the performance of hrs or her duties by plans or expectatrons for or offers of future employment or benefits.
(2) A State Officer shall drsclose, in writrng, to the
Commission, all offers of future employment or benehts that could place the State Officer in a srtuation of conflrct of rnterest.

Offlcer, for at least two years after leaving the offrce.
Misleading the public
26. A State Officer shall not knowrngly give false or misleading information to any person.
Falsification of record s
27. A State Officer shall not falsify any records or misrepresent information to the public.
Conduct of private uffatrs
28. A State Officer shall conduct their private affarrs in a manner that maintains public confidence in the integrity of the Ofhce.
Bullying
29. (1) A State Officer shall not bully another State or Public
Offrcer or any other person.
(2) For purposes of subparagraph (1) "bullying" includes blackmail, coercion, threats, rntimidation or repeated offensive behaviour which is vindictive, cruel, malicious or humiliating whether or not ls intended to undermine a person and includes physical assault.
Acting through others
30. (l ) A State Officer shall not-
(a) cause anything to be done through another person that would constitute a contravention of this Code, the Constitution or any other law rf done by the Sute Officer; or
(b) allow or direct a person under their supervision or control to do anything that rs in contravention of this Code, the Constitution or any other law.
(2) Subparagraph (l) (b) shall not apply where anything is done without the State Officer's knowledge or consent or if the State Officer has taken reasonable steps to prevent it.
Reporting imprope r orders
31. (l) If a State Officer considers that anything required of him or her is in contravention of the Code or is otherwise improper or unethical, the State Officer shall report the matter to the Commission.
(2) The Commission shall investigate the report and take appropriate action within ninety days of receiving the report.
Duty to prevent occurrence of corruption or unethical practice in the ofrce
32. A State Offrcer who believes or has reason to believe comrpt act or unethical malpractice has occurred or is about to occur in the office shall take all necessary measures to prevent it from continuing or materialzing in addition to any other appropriate action.
Use of social media
33. A State Offrcer shall not use social media in a manner that is prejudicial to public interest, natlonal cohesion or that otherwise constitutes a breach of any law.
Dress code
34 A State Officer shall maintain appropriate standard of dress and personal hygiene at all times.
Political and other influence
35. (l) A State Officer shall exercise independence in the discharge of his duties and shall not allow himself to be subjected to political or any other internal or extemal influence that is detrimental to public interest.
(2) A State Officer shall not influence or attempt to influence the decision of any other State or Public Officer or public entity on any matter.
(3) A State Officer shall not in any way interfere with the duties of any other State Officer Public Officer or public entity.
Imple me ntation of dev e lopme nt proje cts
36. (1) A State Officer shall exercise prudence in thc undertaking of development projects and shall at times prioritize projecb that are most urgenr for the public.
(2) For the purposes of sub-pamgraph (l), a Statc Officer shall, before planning for any project, to the extent applicable, undertake and facrlrtate public and stakeholder participation in the determination of the projects to be implemented at any given fime.
(3) A State Offrcer shall not undertake any project without prior planning or budgeting.
(4) A State Officer shall not demand or accept any kickbacks, gifts, benefits or other favours from contractors.
(5) A State Officer shall not compromise or abet comprising of standards of any project implemented for the office.
(6) A State Officer shall, subject to the law, disclose all relcvant information regarding any project to any person requiring such information.
Prefere ntial treatme nt
37. A State Officer shall ensure equal and equitable distribution of resources to all persons and any section of the population in his area of jurisdiction and shall not confer any undue advantage to any person or section of the population.
PART III_ENFORCEMENT OF THE CODE
38. (l) Any person may lodge a complaint alleging a breach of this Code by a State Officer to the Office or to the Commission.
(2) Breach of this Code amounts to misconduct for which the
State Officer may be subjected to disciplinary proceedings including removal from office;
(3) Where a Breach of this code amounts to violation of thc
Constitution, the State Officer may be removcd from the officc in accordance with the applicable laws.
(4) Where an allegation of breach is made to thc Office, the person alleging the breach shall submit a petition setting out the grounds and facts of the alleged violation to the Authorizcd Officer of the Office.
(5) Upon receipt of thc complaint, thc Office shall register and carry out investigations into the complaint, and may takc action against the State Officer in accordance with the Act and any
Regulations made by the Commission under the Act.
(6) If upon invcstigation into the allegcd breach of the Code, the
Office is of thc opinion that civil or criminal proceedings ought to be preferred against the rcspective State Officer, it shall refer the matGr to-
(a) the Commission, with respect to civil matten; and
(b) the Director of Public Prosecutions with respect to criminal matters.
(7) Where the complaint is made to the Commission, the
Commission shall take such action against tlre State Officer as it deems necessary in accordance with its mandate under thc law.
(8) Notwithstanding sub-paragraph (5), the Commission may, subject to the law, take any additional action it deems appropriarc in relaiion to any breach of the Code or require the Offrcc to takc any action against a State Office who has breached thc Codc.
Victimization
39. A State Officer shall not in any way victimize any other State
Officer or Public Officer or any other person for any lawful rction or omission.
Duty of authorized oficer and accounting fficer to comply with directives oJ the Commission in impkmentation of the Code
2(). The Authorized Officer.or Accounting Officcr of the Officc shall at all times comply with such ordcrs or directivcs as may bc issued by the Commission from timc to time towards the implementation of this Codc.

41. A State Officer or thc officc may rcqucst thc Commission to give an advisory opinion on any issue relating to, but not limitcd !o-
(a) the application of Chaptcr Six of thc Constitution.

42. The office shall collabor te with the Commission to ensure that the State Officers and public officers scrving in thc Offrcc are sensrtized on lcadership and integrity issues at lcast once a ycar.

43. Each State Officer shall take personal rcsponsibility or compliancc with the provisions of this Code.
Annual Report
44. T\e Authorized Officc or his dcsignarc shall cause to be prepared and submittcd to the Commission an Annual Report on the progress made in implementation and enforcemcnt of the Code in a prescribed format by the Commission.

45. The Office may with approval of thc Commission amend this
