GAZETTE NOTICE NO. 9337

NOTICE is given of the intention of Cannon Assurance Limited (the Vendor) situated at Gateway Park, Mombasa Road, Block “D”, P.O. Box 30216–00100, Nairobi in the Republic of Kenya, that subsequent to the approval that the vendor has received from the Insurance Regulatory Authority (the authority) pursuant to section 113 (1) (b) of the Insurance Act (Cap. 487, laws of Kenya) (the Insurance Act), to the transfer of all of the vendor’s insurance policies relating to its long term insurance business (as such terms are defined in section 2 of the Insurance Act) (the sale business) to Metropolitan Cannon Life Assurance Limited (the purchaser) a company incorporated in Kenya having a registered office situate at Gateway Park, Mombasa Road, Block “D”, P.O. Box 30216–00100, Nairobi with effect from 1st January, 2015. It should be noted that the vendor and purchaser are both group companies within the Metropolitan Cannon Group and therefore the proposed transfer is an internal restructuring. Copies of a statement setting out particulars of the proposed transfer including the report of an actuary relating to the long term insurance business of the vendor, as approved by the Authority, are available for inspection at— (a) the vendor’s registered office, as specified above; (b) the vendor’s Nairobi CBD Branch Office at CPF House, Haile Selassie Avenue, Nairobi; (c) the vendor’s Mombasa Branch Office at Metropolitan Cannon Building, Moi Avenue, Mombasa; (d) the Vendor’s Kisumu Branch Office at Mega City, Kisumu; (e) the Authority, IRA offices at ZepRe Place, Upper Hill, Nairobi; during normal business hours for a period of not less that thirty (30) days from the date of publication of this notice. Any person (including an employee, director, shareholder or policyholder) who has reasonable grounds for believing that he will be adversely affected by the carrying out of the transfer of the Sale Business is invited to write or make oral representations to the Authority within thirty (30) days of the publication of this Notice stating the grounds on which he believes he will be adversely affected by the carrying out of the transfer of the Sale Business.
