PURSUANT to the provisions of section 25 (3) of the Competition Act, 2010 (the Act), it is notificd for thc information of the gcncral public that Majid Al Futtaim Hypermarkets Limited (trading as "Canefour") (the Lessee) and Azalea Holdings Limited (the Lcssor) havc made an alplication under section 25 (1) of the Act, for exomption of clauses '7.4,9.3 (9.3.1 and 9.3.2) of their pmposcd Twcnry year lrase Agreement from the provisions of section A of Part III of the Act. In clause 7.4 of the Irasc Agrcement, the parties propose that the Lessor and Irssee shall mutually agrce in writing on any other food retail operadons in the Centrc up to l4th Ivtay,-2036. This limitation shall not include thc existing.tenant mix. In clause 9.3.1 of the L,ease Agreement, the parties propose that Irssor shall not lcasc to, or enter into any similar arrangement with any party for premiscs in a centre devcloped, owned, and/or opcratcd by the Lessor within a radius of five kilomcters (5km) of thc Centre for purpose ofestablishing and/or conducting the business activity of a hypermarket, gupermarket, or any other similar business unless mutually agrecd upon by both parties in writing for the period up to 4th February,2023 ard only in respect of.prcmises cxceeding 2500 square metres of the sclling area. In clause 9.3.2,the parties propose that thc lrsscc undertakes not to op€rate any hypermarkct, supermarkct, or any other similar business within a radius of five kilometrcs (5km) from the Centre unlcss mutually agreed by both parties in writing for thc period of up to 4th February, 2023 afi onty in respect of prcmiscs exceeding 2500 square mefts of thc selling area. The aforcmentioned provisions are in conEavention of Sections 2l(l),3 (e) and 3 (r) of the Act unless a[ exemption is granted under section 25(1), hence the application.
