pursuant to the provisions of section 37 of the Leadership and Integrity Act, 2012 and to give effect to Chapter Six of the Constitution of Kenya. The Code is intended to establish standards of integrity and ethical conduct in the leadership and management of public affaIrs of the County Assembly by ensuring that the State Officers respect the values, principles and provisions of the Constitution and other applicable laws or policies on the standards of conduct and performance expected of holders of public office in the discharge of their duties. PART 11—PRELIMINARY PROVISIONS Citation I. This Code may be cited as the Leadership and Integrity Code for State Officers in the County Assembly of Narok. Commencement 2. This Code shall come into operation upon its publication in the Kenya Gazette. Interpretation 3. In this Code, unless, the context oth&wise requires- "Act" means the Leadership and Integrity Act, 2012; (No. 19 of 2012) "Accounting Officer" means the Clerk of the County Assembly "Assembly" means the Narok County Assembly "Authorized Officer" means the Clerk of the County Assembly or his designate. "Bank Account" hasthe meaning assigned to it under section 2 of the Act; "Code" means the Leadership and Integrity Code for State Officers in the Narok County Assembly "Commission" means the Ethics and Anti-Corruption Commission established under Section 3 of the Ethics and Anti-Corruption Commission Act, No. 22 of 2011; "Office" means position held by a State officer in County Assembly; "Personal Interest" means a matter in which a State Officer has a direct or indirect pecuniary or non-pecuniary interest and includes the interest of this or her spouse, child, business associate or agent; "Public Officer" has the meaning assigned to it under Article 260 of the Constitution; "Regulations" means the Regulations made by the Ethics and Anti- Corruption commission pursuant to section 54 of the Act; "State Officer" means a Speaker and Members of Narok County Assembly; Application of Chapter Six of the Constitution, the Leadership and Integrity Act, 2012 and the Public Officer Ethics Act, 2003 4. (1) The provisions of Chapter Six of the Constitution, the Leadership and Integrity Act, the Public Officer Ethics Act, 2003 and shall form part of this Code. (2) If any provision of this Code is inconsistent with the General Leadership and Integrity Code under Part II of the Leadership and Integrity Act, 2012, the latter shall prevail. Commitment.to the Code 5. (1) A State Officer elected to the County Assembly shall sign and commit to this Code at the time of taking oath of office or within seven days of assuming office. Serving State Officer shall sign and commit to this Code within seven (7) days of the publication of the Code in the Gazette. The declaration of commitment to the Code shall take the form and structure set out in the First Schedule to this Code. PART II—REQUIREMENTS Rule of Law 6. (1) A State officer shall respect and abide by the Constitution and the law. A State officer shall carry Out the duties of the office in accordance with the law. In carrying out the duties of the office, a State officer shall not violate the rights and fundamental freedoms of any person unless otherwise expressly provided for in the law and in accordance with Article 24 of the Constitution. Public Trust 7. A State office is a position of public trust and the authority and responsibility vested in a State officer shall be exercised by the State officer in the best interest of the people of Kenya. - Responsibility and Duties 8. Subject to the Constitution and any other law, a State Officer shall take personal responsibility for the reasonably foreseeable consequences of any actions or omissions arising from the discharge of the duties of the office. Performance of Duties 9. A State officer shall, to the best of their ability- carry Out the duties of the office efficiently and honestly; carry out the duties in a transparent and accountable manner; * (c) - keep •acCurate records and documents relating to the functions of the office; and (d) report, truthfully on all matters of the organization which theyrepresent. Professionalism 10. A State Officer shall- carry Out duties of the office in a manner that maintains, public confidence in the integrity of the office; treat members of the public officer and other state officers with courtesy and respect; not discriminate against any person, except as is expressly provided by the law; to the extent appropriate to the office, maintain high standards of performance and level of professionalism within the organisation; and if the State officer is a member of a professional body, observe and subscribe to the ethical and professional requirements of that body in so far as the requirements do not Contravene the Constitution or this Act. Confidentiality 11. A State Officer shall be subject to Article 35 of the Constitution and any other relevant law, a State Officer shall not disclose or cause to be disclosed any information in his or her custody to any unauthorized person. Financial Integrity 12. (1) A State Officer shall not use the office to unlawfully or wrongfully enrich himself or herself or any other person. Subject to Article 76 (2) (b) of the Constitution,.a State officer shall not accept a personal loan or benefit which may compromise the State officer in carrying out the duties. A State Officer shall submit an initial declaration of income, assets and liabilities within thirty days of assuming office and thereafter make biennial declarations to the Office, an a final declaration within thirty (30) days of ceasing to be a State Officer. The Declaration under sub-paragraph (3) shall be submitted to the County Assembly Powers and Privileges Committee. A declaration filed by a State Officer in accordance with the provisions of sub-paragraph (3) shall be accessible to the Commission 21st December, 2018 THE KENYA GAZETTE 4465 and any other person, subject to the provisions of section 30 of the Public Officer Ethics Act, 2003, Moral and Ethical Requirements 13. (1) For the purposes of Articles 99 (1) (b) and 193(1) (b) of the Constitution, a peison shall observe and maintain the following ethical and moral requirements- demonstrate honesty in the conduct of public affairs subject to the Public Officer Ethics Act(No. 18 of 2014); not to engage in activities that amount to abuse of office; accurately and honestly represent information to the public; not engage in wrongful conduct in furtherance of personal benefit; not misuse public resources; 07 not discriminate against any person, except as expressly provided for under the law; not falsify any records; not sexually harass or have inappropriate sexual relations with other State Officers, staff of the office or any other person; not engage in actions which would lead to the State Officer's removal from the membership of a professional body in accordance with the law;and not commit offences and in particular, any of the offences under Parts XV and XVI of the Penal Code (Cap. 63), the Sexual Offences Act (No. 3 of 2006), the Counter- Trafficking in Persons Act (No. 8 of 2010), and the Children Act (Cap. 141). (2) A person who wishes to be elected to a State office shall, for the purposesof this section, submit to the Independent Electoral and Boundaries Commission a self-declaration in the form set Out in the First Schedule. Gifts or Benefits in Kind 14. (1) A gift or donation given to a State officer on a public or official occasion shall be treated as a gift or donation to the State. (2) Notwithstanding subsection (1), a State officer may receive a gift given to the State officer in an official capacity, provided that- the gift is within the ordinary bounds of propriety, a usual expression of courtesy or protocol and within the ordinary standards of hospitality; the gift is not monetary; and the gift does not exceed such value as may be prescribed by the Commission in the regulations. (3) Without limiting the generality of subsection (2), a State officer shall not- (a) accept or solicit gifts, hospitality or other benefits from a person who- has an interest that may be achieved by the carrying out or not carrying Out of the State officer'sduties; carries on regulated activities with respect to which the State officer's organization has a role; or has a contractual or legal relationship with the State officer's organization; (b) accept gifts of jewellery or other gifts comprising of precious metal or stones ivory or any other animal part protected under the Convention on International Trade in Endangered Species of Wild Fauna and Flora; or (c) any other type of gift specified by the Commission in the regulations. (4) A State officer shall not receive a gift which is given with the intention of compromising the integrity, objectivity or impartiality of the State officer. (5) Subject to subsection (2), a State officer who receives a gift or donation shall dqclare the gift or donation to the Commission and the Assembly (6) The Assembly shall keep a register of- gifts received by a State officer serving in the Assembly; and gifts given by the Assembly to other State officers. (7) The Commission shall make and publicize regulations regarding receipt and disposal of gifts under this section. Wrongful or Unlawful Acquisition of Property A State officer shall not use the office to wrongfully or unlawfully influence the acquisition of property. Conflict of Interest (1) A'State officer or a public officer shall use the best efforts to avoid being in a situation where personal interests conflict or appear to conflict with the State officer's or public offier's official duties. (2) Without limiting the generality of subsection (1), a State Officer shall not hold shares or have any interest in a corporation, partnership or other body, directly or through another person, if holding those shares or having that interest would result in a conflict of the State officer's personal interests and the officer's official duties. (3) A State officer or a public officer whose personal interests conflict with their official duties shall declare the personal interests to the Assembly or the Commission. (4) The Commission or Assemby may give direction on the appropriate action to be taken by the State officer to avoid the conflict of interest and the State officer shall- comply with the directions; and refrain from participating in any deliberations with respect to the matter. (5) Notwithstanding any directions to the cdntrary under subsection (4), a State Officer or a public officer shall not award or influence the award of a Contract to- himself or herself; the State Officer's or Public Officer's spouse or child; a business associate or agent; or a corporation, private company, partnership or other body in whichthe officer has a substantial or controlling interest. (6) In this section, "personal interest" includes the interest of a spouse, child, business associate or agent or any other matter in which the State officer or public officer has a direct or indirect pecuniary or non-pecuniary interest. (7) Where a State officer is present at a meeting, where an issue which is likely to result in a conflict of interest is to be discussed, the State officer shall declare the interest at the beginning of the meeting or before the issue is deliberated upon. (8) A declaration of a conflict of interest under subsection (7) shall be recorded in the minutes of that meeting. (9) Subject to Article 116(3) and (4) of the Constitution, County Assembly shall declare any direct pecuniary interest or benefit of whatever nature in any- debate or proceeding of the body of which he or she is a member; debate or proceeding many committee of that body; and transaction or communication which the State officer may have with ether members of the body, State officers, public officers or government officers. (10) For purposes ofsubsection (9), the Clerk of County Assembly shall maintain a register of conflicts of interest, which shall be open to the public for inspection. (11) The Assembly shall maintain an open register of conflicts of interest in the prescribed form in which an affected StateOfficer shall register the particulars of registrable interests, stating the nature and extent of the conflict. (12) For purposes of subsection (II), the registrable interests include the interests set out in the Second Schedule. ('13) The Assembly shall keep the register of conflicts of interest for five years after the last entry in each volume of the.register. (14) It shall be the responsibility of the State officer to ensure that an entry of registrable interests under subsection (11)is updated and to notify the Assembly or the Commission of any changes in the registrabie interests, within one month of each change occurring. Participation in Tenders 17. A State officer or a public officer shall not participate in a tender for the supply of goods or services to a Assembly in which he or she is serving or is otherwise similarly associated, but the holding of shares by a State officer or a public officer in a company shall not be construed as participating in the tender of the County Assembly unless the State officer or public officer has a controlling shareholding in the company. Public Collections 18. (1) A State officer shall not solicit for contributions from the public for a public purpose unless the President has, by notice in the Gazette, declared a national disaster and allowed a public collection for the purpose of the national disaster in accordance with the law. A State, officer shall not participate in a public collection of funds in a way that reflects adversely on that State officer's integrity, impartiality or interferes with the performance of the official duties. Nothing in this clause shall be constructed as prohibiting a State Officer from making voluntary contribution. Bank Accounts outside Kenya 19. (1)' Subject to Article 76 (2) of the Constitution or any other written law, a State officer shall not open or continue to operate a bank account outside Kenya without the approval of the Commission. A State officer who has reasonable grounds for opening or operating a bank account outside Kenya shall apply to the Commission for approval to open or operate a bank account. A State officer who operates or controls the operation of a bank account outside Kenya shall submit statements of the account annually to the Commission and shall authorize the Comimssion to verify the statements and any other relevant information from the foreign financial institution in which the account is held. Subject to subsections (1) and (2), upon the commencement of this Code, a serving State officer who operates a bank account outside Kenya shall close the account in accordance with section 19 (4) of the Act.' • (5) Without prejudice to the foregoing provisions of this section, a State officer who fails to declare operation or control of a bank account outside Kenya commits an offence and shall, upon conviction, be liable to imprisonment for a term not exceeding five (5) years, or a fine not exceeding five million, shillings, or both. Acting for Foreigners 20. (1) A State officer shall not be an agent of, or further the interests of a foreign government, organization or individual in a manner that may be detrimental to the security interests of Kenya, except when acting in the course of official duty. (2) For the purposes of this section- (a)' an individual is a foreign individual if the individual is not a citizen of Kenya; and (b) an organization is a foreign organization if it is established outside Kenya or is owned or controlled by a foreign government, organization or individual. Care of Property 21. (1) A State officer shall take all reasonable steps to ensure that public property in the officer's custody, possession or control is taken care of and is in gopd repair and condition. A State officer shall not use public property, funds or services that are acquired in the course of or as a result of the official duties, for activities that are not related to the official work of the State officer. A State officer shall return to the issuing authority all the public property intheir custody, possession or control at the end of the appointment, or election term. (4) A State officer who contravenes subsection (2) or (3) shall, in addition toany other penalties provided for under the Constitution, this Act or any other law be personally liable for any lots or damage to the public property. Misuse of Official Information 22. (1) A State officer shall not directly or indirectly use or allow any person under the officer's authority to use any information obtained through or in connection with the office, which is not available in the public domain, for the furthering of any private interest, whether financial or otherwise. (2) The provisions of subsection (I), shall not apply where the information isto be used for the purposes of- furthering the interests of the Act; or educational, research, literary, scientific or other purposes not prohibited by law. Political Neutrality 23. (1) An appointed State officer, shall not, in the performance of their duties— . . act as an agent for, or further the interests of a political party or candidate in an election; or manifest support for or opposition to any political party or candidate in an election. (2) An appointed State officer shall not engage in any political activity that may compromise or be seen to compromise the political neutrality of the office subject to any laws relating to elections. (3) Without prejudice to the generality of subsection (2), a public officer shall not- engage in the activities of any political party or candidate or act as an agent of a political party or a candidate in an election; or publicly indicate support for or opposition against any political party or candidate participating in an election. Impartiality 24. A State officer shall, at all times, carry out the duties of the office with impartiality and objectivity in accordance with Articles 10, 27, 73 (2) (b) and 232 of the Constitution and shall not practice favouritism, nepotism, tribalism, cronyism, religious' bias or engage in corrupt or unethical practices. Giving Advice 25. A State officer who has a duty to give advice shall give honest, accurate and impartial advice without fear or favour. Gainful Employment 26. (1) Subject to subsection (2), a State Officer who is servingon a full time basis shall not participate in any other gainful employment. (2) In this section, "gainful employment" means work that a person can pursue and perform for money or other form of compensation or remuneration which is inherently incompatible with the responsibilities of the State office or which results in the impairment of the judgement of the State officer in the execution of the functions of the State office or results in a conflict of interest in terms of section 16. Offers of Future Employment 27. (1) A State officer shall not allow himself or herself to be influenced in the performance of their duties by plans or expectations for or offers of future employment or benefits. (2) A State officer shall disclose, in writing, to the public entity and the Commission, all offers of future employment or benefits that could place the State officer in a situation of conflict of interest. Former State Officer Acting in a Government or Public Entity Matter 28. A forme'r State Officer acting in a. Government or Assembly matter shall not be engaged by or act for a person or entity in a matter 21stDecember, 2018 in which the officer was originally engaged in as a State officer, for at least two years after leaving the State office. Misleading the Public 29. A State officer shall not knowingly give false or misleading information to any person. Falsification of Records 30. A State officer shall not falsify any records or misrepresent information to the public. Conduct of Private Affairs 31. A State officer shall conduct private affairs in a manner that maintains public confidence in the integrity of the office. Tax, Financial and Legal Obligations 32. (1) A State officer shall pay any taxes due from him or her within the prescribed period. (2) A State officer shall not neglect their financial or legal obligations. Bullying 33. (1) A State officer shall not bully any person. (2) For purposes of subsection (1), "bullying" includes repeated offensive behaviour which is vindictive, cruel, malicious or humiliating and is intended to undermine a person. Acting through Others 34. (1) A State officer contravenes the Code if the officer- causes anything to be done through another person that would constitute a contravention of the Code if done by the State officer; or allows or directs a person under their supervision or control to do anything that is in contravention of the Code. Subsection (1) (b) shall not apply where anything is done without the State officer's knowledge or consent or if the State officer has taken reasonable steps to prevent it. A State officer who acts under an unlawful direction shall be responsible for his or her action. Reporting Improper Orders 35. (1) If a State Officer considers that anything required of them is in contravention of the Code or is otherwise improper or unethical, the State officer shall report the matter to the Commission. (2) The Commission shall investigate the report and take appropriate action within ninety (90) days of receiving the report. Duly to Prevent Occurrence of Corruption or Unethical Practice in the Office • 36. A State Officer who believes or has reason to believe corrupt act or unethical malpractice has occurred or is about to occur in the office shall take all necessary measures to prevent it from continuing or materializing in addition to any other appropriate action. Use of Social Media A State Officer shall not use social media in a manner that is prejudicial to public interest, national cohesion or that otherwise constitutes a breach of any law. Dress Code A State Officer shall maintain appropriate standard of dress and personal hygiene at all times. Political and other Influence (1) A State Officer shall exercise independence in the discharge of his duties and shall not allow himselLto be subjected to political or any other internal or external influence that is detrimental to public interest. (2) a State Officer shall not influence of attempt to influence the decision of any other State or Public Officer or Assembly on any matter. (3) A State Officer shall not in any way interfere with the duties of any other State Officer, Public Officer or Public entity. Provisions Relating to'Implementation of Projects 40. (1) A State Officer shall in the exercise of oversight over implementation of projects not interfere with such implementation in any way. A State Officer shall not influence the undertaking of any project without prior planning or budgeting. A State Officer shall not demand or accept any kickbacks, gifts, benefits or other favours from contractors or other persons or entities who are engaged in implementation projects. A State Officer shall not compromise or abet comprising of standards of any project. A State Officer shall, subject to the law, disclose all relevant information regarding any project to any person requiring such information. Preferential Treatment 41. A State Officer shall ensure equal and equitable distribution of resources to all persons and any section of the population in his area of jurisdiction and shall not confer any undue advantage to any person or section of the population. Dual Citizenship 42. (1) Subject to Article 78 (3) of the Constitution, a State Officer who acquires dual citizenship shall lose his or her position as a State Officer. (2) Any person who holds dual citizenship shall, upon election or appointment to a State Office, not take office before renouncing their other citizenship in accordance with the provisions of the Kenya Citizenship and Immigration Act, 2011 (No. 12 of 2011) PART Ill—ENFORCEMENT OF THE CODE Enforcement of the Code 43. (1) any person may lodge a complaint alleging a breach of this code by a State Officer to the Assembly or to the Commission. (2) Breach of this Code aniounts to misconduct for which the State Officer may be subjected to disciplinary proceedings including removal from office. (3) Where a Breach of this code amounts to violation of the Constitution, the State Officer may be removed from the office in accordance with the applicable laws. (4) Where an allegation of breach is made to the Assembly, the person alleging the breach shall submit a petition setting out the grounds and facts of the alleged violation to the Authorized Officer of the Assembly. . (5) Upon receipt of the Complaint, the Assembly shall register and carry Out investigations into the complaint, and may take action against the State Officer in accordance with the Act, Standing Orders of the Assembly, any Regulations made by the Commission under the Act or other law that for the time being governs the conduct of State Officers in the Aisembly. (6) If upon investigation into the alleged breach of the Code, the Office is of the opinion that civil or criminal proceedings ought to be preferred against the respective State Officer, it shall refer the matter to- the Commission, with respect to civil matters; and the Director of Public Prosecutions with respect to criminal matters. (7) Where the complaint is made to the Commission, the Commissjon shall take such action against the State Officer as it deems necessary in accordance with its mandate under the law. (8) Notwithstanding sub-paragraph (5), the Commission may, subject to the law, take any additional action it deems appropriate in relation to any breach of the Code or require the Office to take any action against a State Office who has breached the Code. Victimization 44. A State Officer shall not in any way victimize any other State Officer or Public Officer or any other person for any lawful action or omission. Duly of Authorized Officer and Accounting Officer to comply with directives of the Commission in Implementation of the Code 45. The Authorized Officer or Accounting Officer of the Assembly shall at all times comply with such, orders or directives as may be issued by the Commission from time to time towards the implementation and enforcement of this Code. PART TV—GENERAL PROVISIONS Advisory Opinion 46. A State Officer or the Assembly may request the Commission to give an advisory opinion on any issue relating to, but not limited to - the application of Chapter Six of the Constitution; the application of the Act or any other applicable law or regulations dealing with the ethics and integrity of State Officers; the application of the Public Officer Ethics Act. 2003, or any other law or regulations dealing with the ethics and integrity of public officers; the application othis Code; an ethial dilemma; or any other matter incidental to the promotion of the ethics and integrity of State Officers and public officers generally. Training on Leadership and Integrity 47. The Assembly shall collaborate with the Commission to ensure that the State Officers and public officers serving in the Assembly are sensitized on leadership and integrity issues at least once a year. Personal Responsibility for Compliance 48. Each State Officer shall take personal responsibility or compliance with the provisions of this Code. - Annual Report 49. The Authorized Officer or his designate shall cause to be prepared and submitted to the Commission an Annual Report on the progress made in implementation and enforcement of the Code in a prescribed format by the Commission. Amendment of the Code 50. The Assembly may with approval of the Commission amend this Code. In the performance of its functions, NACOSTEC shall- regulate its own procedures including coopting members; regulate its own procedure while working within confines of the Constitution; facilitate multi-sectoral and stakeholder participation, forums and expert working groups; form technical working groups as well as sub county and village level co-ordination structure as necessary; outline the policy, administrative reform proposals, and implementation modalities for different aspects of the Nakuru countywide inclusive sanitation strategic investment plan; (1) consider and propose appropriate mechanisms for co- ordination, collaboration and cooperation among sectors and institutions to bring about the changes and results desired; (g) organize from time to time, such forums, conferences, symposia, seminars and workshops as necessary to periodically review of the state of sanitation in the county, set sector priorities and promote learning and knowledge exchange; pay special attention to making practical interventions that will ensure gender 'and social inclusion of the vulnerable including women, children, the indigent, persons with disabilities, the elderly and; hold such number of meetings in such places and at such times as the committee shall consider necessary for the proper discharge of its functions; Solicit, receive and consider written memoranda or information from the public if deemed necessary; and carry out or cause to be carried out such assessments, studies or research as may inform its mandate. Further Section 59 sub-sections 5 of the County Governments Act, 2012 states that the report prepared shall include- all the steps taken and decisions made by the Board in the realization of values and principles; specific recommendations that require to be implemented in the promotion and protection of the values and principles; specific decisions, on particulars of persons or public body who have violated the values and principles, including actions taken or recommendations against them; any impediment in the promotion of the values and principles; and the programmes the Bbard is undertaking or has planned to undertake in the medium term towards the promotion of the values and principles. Scope of the Report This report covers the extent to which the values and principles as enshrined in Articles 10 and 232 of the Constitution of Kenya, 2010 were embedded in Board decisions and policies with a view of translating these values into practice. Measures/Sreps Taken in Realization of National Values and Principles of the Public Service The Board undertook training on Values and Principles Of Public Service for staff working at Chebororwa Agricultural Training Centre (ATC). During the period, the Board enhanced consultations with EACC on matters pertaining to Leadership and Integrity. Members of the Board undertook training on Goverijance, Inclusion and Diversity' conducted by EACC, National Commission for Integration and Cohesion and Nazarene University. On accountability for administrative acts, the CPSB issued the following advisories to the Executive: Advisory on staff who resigned to participate in elections; Declaration of Assets, Income and Liabilities; Acting appointments; An advisory to send names of appointed CECMs to EACC for background check; Advisory to Chief Officers on enforcement of Chapter Six of the constitution, Leadership and Integrity Act 2012 and Regulations 2015 in the County Public Service; Advisories on provision of protective gear to staff. (e) On conflict of Interest, members made declarations as follows: Declaration on a training request by a staff member: Two (2) members declared conflict during shortlisting and interview of candidates. The said members were exempted from the deliberation/participation in the, board meeting/interview. Board members attended the folrowing trainings/workshops for the purpose of continuous capacity building and development: IHRM National Convention and Annual Conference; Public Service Sectoral Forum; Advantage Governance training; CPSB Annual Forum; training on panelists for police suitability vetting. In promotion of values and principles of public service, the Board enhanced collaborations with stakeholders including EACC, Ministry of Public Service, Gender and Youth, Salaries and Remuneration Commission and Public Service Commission. Pursuant to Chapter Six of the Constitution, Leadership and Integrity Act 2012, the CPSB has mainstreamed governance by incorporating a clause in the employment contract on adherence to values and principles in public service and making it a requirement for the employees to complefe a Declaration of Income Assets and Liabilities forin on entry. Disciplinary action was instituted against staff who did not comply with the requirements for declaration for the period 2013-2015. The recruitment process as undertaken by the Board affords equal opportunity to all and encourages Women, Youth, Persons with Disabilities ant the marginalized to apply; affirmative action was applied to ensure inclusion. A total of Nine (9) employees were recruited during the period under review: Seven, (7) Male -. 77.8% and Two (2) Females - 22.2%. The recruitment was based on skill gaps in various departments. The CPSB held various consultative meetings with the department of Public Service Management on operational issues pertaining to the management of Human Resource. Consultative meetings were held with the Union representation and staff on issues relating to terms and conditionsof service.
