NOTICE is given under section 3 of the Transfer of Businesses Act, that Chuchi Enterprise Limited, of P.O. Box 95688-80106, Mombasa (the Transferor) who owns and operates a business that trades in a bar, restaurant and night club, off Malindi—Mombasa Highway known as Ilcovo Mombasa at the land comprised in the title known as Sub-division No. 1520 (Orig. 879/2) section 1 Mainland North, Mombasa, has sold and transferred all its assets to Tri-Basic Africa Limited, of P.O. Box 4570-00506, Nairobi (the Transferee), who will carry on similar business using the sale assets from the aforesaid premises with effect from the 1st March, 2019 (the completion date) The registered office of the Transferor is P.O. Box 95688-80106, Mombasa, Kenya. The registered office of the Transferee is P.O. Box 4570-00506, Nairobi, Kenya. The Transferee will not and shall not be deemed to assume any of the debts, creditors or liabilities incurred in the said business or on behalf of the Transferor and any other third parties, up to and including the date of the transfer and such debts, creditors or liabilities will be paid and discharged by the Transferors and likewise, any debts due to the Transferor up to and including the date of the transfer will be received by the Transferor: Dated the 1st March, 2019.
