PURSUANT TO SECTION 406 (C) OF THE INSOLVENCY ACT (NO. 18 OF 2015) TAKE NOTICE that on 15th July, 2019, the shareholders of the Green Resources Exploration (Kenya) Limited, a limited liability, company incorporated in Kenya of ' registration number CPR/2009/9828, of P.O Box 17653-00500, Nairobi, Kenya registered address is at Beijing Road, Mlolongo, Machakos, Kenya (the Company), on advice of the directors of the Company (having considered its affairs and financial position, and who are unable to issue a declaration of solvency), placed the Company into a creditors voluntary liquidation pursuant to section 393 (3) (b) of the Insolvency Act, 2015, laws of Kenya (the Act), by passing a special resolution (the Resolution) to such effect. Take notice that in accordance with the Resolution, that 0. M. Da Costa-Luis of P.O. Box 70358-00400, Nairobi, Kenya was duly nominated to be the liquidator for the Company and, upon confirmation of his nomination by the creditors, shall be duly authorized to act as the liquidator for purposes of liquidating the Company. i.Take notice that a creditors' meeting will be duly convened, pursuant to section 406 (1) (a) of the Act, to be held on 29th July, 2019 for which we request your presence. The purpose of the meeting will be for the creditors of the Company to action/resolve the following — (a) confirm the voluntary liquidation of the Company; (b) confirm the nomination and appointment of 0.M Da Costa- Luis a as the liquidator of the Company or such other person as the creditors so wish to appoint as liquidator of the Company (the Liquidator); (c) review the Company's statement of financial affairs pursuant to section 407 of the Act; (d) (if necessary) appoint a liquidation committee not exceeding five (5) persons to oversee the liquidation, process to be undertaken by the liquidator on behalf of the Company; and (e) any other business necessary to be conducted for the purposes of the creditors voluntary liquidation to conduct on behalf of the Company. Take notice that two (2) business days' prior the creditors' meeting (excluding the day of the meeting), the Company shall make available (at its principal place of business) a list of all creditors' and their respective addresses for any creditor to inspect free of charge.
