NOTICE is given, pursuant to the provisions of section 477 (1) of the Companies Act, 2015 (the “Act”), that Nineteen Twenties Safari Camps Limited (the “Company”) has approved, by way of Special Resolution passed at an Extraordinary General Meeting of the Company held on the 4th September, 2023, a payment out of capital for the purpose of acquiring its own shares by purchase as permitted under Part XVI of the Act. In accordance with Article 51 of the Articles of Association of the Company, the Company will buy back three thousand, six hundred (3,600) fully paid-up Ordinary Shares in the capital of the Company from Laurent Paul Scharapan, a Shareholder and Director of the Company, at a Buyback price of USD 125.00 per Ordinary Share payable in cash for an aggregate consideration of USD 450,000.00. The amount of the permissible capital payment for the buyback in respect of the shares is USD 450,000.00. The Special Resolution granting approval for such capital payment was passed on the 4th September, 2023. The Board of Directors’ Statement of Solvency and Auditors’ Report required by section 472 of the Act is available for inspection by any Member or Creditor of the Company at the Company’s registered office at Plot No. LR 209/1975, 2nd Floor, Internet Business Centre, Plums Lane, off Ojijo Road, Parklands, Nairobi, Kenya, during normal business hours. Any creditor of the Company is entitled at any time within the period of five weeks commencing on 4th September, 2023 to apply to the Court under section 479 of the Act for an order prohibiting the payment out of capital in respect of the Buyback.
