This document is alleged to be confidential document which the grievant is alleged to have passed to a third party, the claimants, thus breaching the secr' ecy clause of his contract of employment . ne grievant's dismissal sparked avstrike in all the 'banks in the country and a 4çreturn to work formula'' stated here'inbelow was hammered out and signed on 20th December, 1996 at 3.30 a.m. with the help of the Ministry of Labour and the strike was called off. the court is really not anxious to know the individual management salaries. ne court is concerned to ensure an equitable distribu- tion of money available for salaries between the unionisable and the management staff. nis information the court gets from the C P.U. repol't. ' 'rhe Industripl Relations Charter was further revised in April, 1984. ne personnel managers and their deputies in any organization are qon-unionisablc but the staff in the personnel department are not. Al1 the salary schedules are prepared in the personnel manager's department and all the staff there help in preparation of al1 these documents and are fully aFare of how much each member of the staff is earning. ney are, however, under a duty not to disclose this information to unaulhorized persons. Individual management staff salaries are sensitive indeçd and can cause considerable embarrassient to an individual if made public. In any case the Industrial Court has powers under the' Trade Disputes Ad, section (1) and (2) to require any persori- (a) to furnish in writing or otherwise, such particulars in relation to such matter as 'it may require; . (b) to attend before it; (c) to give evidence on oath or otherwise; and (d) to produce any relevant documents. It is a fact that the res/ndents' Mombasa management staff salary schedule was promlnently displayed in the two economic disputes between the claimants and the Kenya Bankers Em- ployer's Association. nese disputes have already been referred to hereinabove in the award. ne management salary schedules from a couple of other banks also featured promineptly. ne coul't is also aware that the shopstewards in the banks have developed this tendency of obtaining management staff salary schedules over the yast many years without the Kenya Bankers Employers' Associatlon raising any objection to the production of suih documents. It is only recently that they raised an objection to the role played by the C.P.U. ln economic disputes but their objection was overnzled by the court. nis time around, however, the respondentg'who are members of the Kenya Bankers Employer's Association have dismissed the grievant, their chief shopsteward, for obtainin! their Mombasa branch management salary schedule and passlng it on to the claimants whom the respondents regard as third party. nere were, hùwever, two other persons' involved in this exercise, the custodian of the docunïent iil question and the Mombasa shomteward who obtained it and sent it to the grievant in Nairobi. No diKiplinary action was iaken against the two. ne court has always jrotected the trade union officials'agaiast victimization by thelr employers foi indulging in trade union activities provided they are legitimate and acceptable under the industrial relations system. On balance the court finds that the manygement staff salaries are not strictly the Hbanks business'' as such but nevertheless they are consdential and should not be disclosed to any unauthorized l rson. ' . K1. The Minister appoint an investigator to look into the dismissal of Moses Ngatia and the warning l#tter to Charles 0. Okwayo, today, Friday, the 20th December, 1996. 2. No further disciplinary action against the other shopste- wards regarding the alleged unauthorized acquisation of documents produced in the Industrial Court until the outcome of the ihvestigation above are known. 3. ne striking employees to resume work with immediate effect and there will be no any victimization of either party consequent to the strike.'' ' It is obvious from the above clause 2 that this is a test case and depending on its outcome further disciplinary action against bther shopstewards is possible. This dispute is of great importance as it touchçs on the principle of the fiduciary relationship between an employee and his employer. Ihe court must reiterate that an employee should under no circumstances behave in a manner by deed or words that would ' harm or jeopardize his employer's businesi. In the banking ipdustry all employees are required to observe the strictest secrecy rdgarding the bank's business and no informatipn whatsoever disclosed relating to business transacted by the bank or any of its constituents to a third party. . ne court upholds its previous rulings on this point but in the dispute before it, the court has to determine if a schedule of the managelent staff salaries is Gbank business'' or Açbusiness transacted by the bank'' and also to generally'' determine if the management salaries in an organization are to be deemed to be confidential. ' In economic disputes before the Industrial Court the trade upions ujually submit that the management staff are jetting.hefty increases and the unionisable employees are denled such in- creases Snd were offered low increases. ne trade unions go to great lengths tp obtain documents which would prove their such allegations to be true. When asked how they have procured yhese documents their answer is the'y have thelr Npiesî' all over in the organization. In economic disputes the trade unions want to know' how much prost has been made bj the organization, how it is being spent and where the balance ls being stashed. ney want to know how much of it has gpne towards increasing the rèmuneration package of the management staff. It is towards this end and other related matters in economic disputes which are also subject to the Wages Guidelines issued by the Minister for Finance that tlw Industrial Court causes in depth investigation to be made by econpmists attached to the Central Planning Unit of the Ministry of Letbour. The court would like to emphasize to alI the partics concerned in economic disputes before the court that the court has the appropriate mechanism in place through the Central Planning Unit of the Ministry of Labour to obtain aII the relevant information for the court and the parties concerned. The court has also powers to obtain any information it may desire and the parties are free to make appllcations to the court to obtain such evidence. The court is using this case to wean away shopstewards from such practiçes like obtaining confidential ' documents without authority and in future the court may not be able to help them in such cases. Just now; however, the court would not Iike to start an avalanche of dismissals of shopstewards in the banking industry arising out of the return-to-work formula. In the present case the court finds in view of alI the facts and cirmcumstances that the respondents sbould have given a warning letter to the grievant and ho has therefore sufferred a wrongful dismissal. l The grievant .worked for the respondents for 26 years and is now 50 years old. The court finds that reinstatement is not warranted and that compensation would bc an appropriate remedy in this case. The court awards that the respondents should pay the grievant five months' salary and house allowance by way of compensation for the wrongful.dismissal he has suffered in addition to what hc has already been paid.
