The part development plan relates to land situated within Embu Municipality, Manyatta Sub-location of Embu County. Kenya, will, subject to the fulfilment of certain conditions precedent, be transferred to Mavuno Fertilizers Limited (Company Number C. 109783) (“Transferee”) pursuant to the terms of a Business and Asset Transfer Agreement (the “Agreement”). The Transferee will not assume nor is it intended to assume any liabilities incurred by the Transferor in the fertilisers and industrial mineral business up to the date of transfer.
