NOTICE is given under the Transfer of Businesses Act, that the mining business (together with the assets of the mining business) carried on by ARM Cement PLC (Company Number C. 19/97) (“transferor”) at P.O. 41908-00100, Nairobi, Kenya, will subject to the fulfilment of certain conditions precedent be transferred to ARM Minerals and Chemicals Limited C. 163805 (“transferee”) pursuant to the terms of a Business and Asset Transfer Agreement (the “agreement”). The address of the Transferor is ARM Cement PLC at Vale Close, Ring Road Parklands, Westlands and P. O. Box 41908-00100, 5th Floor, ICEA Lion Centre, Riverside Park, Chiromo Road, Nairobi, P. O. Box 10643-00400, Nairobi, Kenya. The address of the Transferee is ARM Minerals and Chemicals Limited at Vale Close, Ring Road Parklands, Westlands and, P.O. Box 41908-00100, Nairobi, Kenya. In the event that the conditions precedent to the Agreement is - fulfilled, the Transferee intends to carry on the mining business (together with the assets of the mining business) from its offices. All money debts or liabilities due and owing by the Transferor in respect of the mining business (together with the assets of the mining business) up to the date of transfer as set out above shall be received and paid by the transferor. The transferee will not assume nor is it intended to assume any liabilities incurred by the Transferor in the mining business (together with the assets of the mining business) up to the date of transfer.
