NOTICE is given of the intention of Allianz Insurance Company of Kenya Limited, a private limited liability company incorporated under the laws of the Republic of Kenya with reg. no. CPR/2014/129953 and whose address for the purposes hereof is Allianz Plaza, 5th Floor, 96 Riverside Drive, P.O. Box 66257-00800, Nairobi, Kenya (Allianz Kenya) and Jubilee Allianz General Insurance (K) Limited, a private limited liability company incorporated under the laws of the Republic of Kenya with reg. no. PVT-8LUYEXV and whose address for the purposes hereof is Allianz Plaza, 5th Floor, 96 Riverside Drive, P.O. Box 66257-00800, Nairobi, Kenya (Jubilee), to apply to the Insurance Regulatory Authority for its approval pursuant to section 113 of the Insurance Act (Cap. 487), to the transfer by Allianz Kenya to Jubilee with effect from the 31st December, 2020, of all those insurance policies issued by Allianz Kenya in relation to its general insurance business of all classes, excluding class 12 (medical), subsisting at that time to Jubilee and for Jubilee to accept those insurance policies issued by Allianz Kenya in relation to its general business and amalgamate the same with Jubilee’s general business (Amalgamation). Copies of a statement setting out the particulars of the proposed amalgamation and a copy of the proposed portfolio transfer agreement relating thereto as approved by the Insurance Regulatory Authority are available for inspection at the address of Allianz Kenya, as stated above, Allianz Kenya’s website, https://www.allianz.co.ke/, the address of Jubilee, as stated above, the branches of Jubilee (at the addresses indicated below), Jubilee’s website, https://jubileeinsurance.com/ke/general-insurance/_ the Insurance Regulatory Authority’s offices (at the address indicated below), the Insurance Regulatory Authority’s website, https://www.ira.go.ke/, Coulson Hamey LLP (at the address indicated below) and CMS Daly Inamdar Advocates (at the address indicated below) during normal business hours for a period of thirty (30) days from the date of publication of this notice. Any person (including a policyholder, shareholder, employee or director) who has reasonable grounds for believing that he/she/it would be adversely affected by the amalgamation is invited to write or make oral representations to the Insurance Regulatory Authority within thirty (30) days of the publication of this notice stating the grounds on which he/she/it believes he/she/it would be adversely affected by the carrying out of the amalgamation. 28th January, 2022 COULSON HARNEY LLP, on behalf of Allianz Insurance Company of Kenya.
